Terms and Conditions
- Payment Terms: Net 30 days from date of invoice. A 10% advance payment is due upon acceptance of this Purchase Order. Remaining balance is payable in two equal installments: 50% upon completion of system integration and 50% upon successful acceptance testing at the Canada Toronto facility.
- Scope of Work: The Mechatronics Engineer and all supporting personnel assigned under this Purchase Order shall perform duties strictly within the scope defined in the attached Statement of Work (SOW-2025-04871-A). Any work outside this scope requires a written change order approved by both parties.
- Compliance: All equipment, software, and engineering services must comply with the Canadian Electrical Code (CEC), CSA standards, Ontario Occupational Health and Safety Act (OHSA), and applicable municipal bylaws for the City of Toronto, Canada.
- Intellectual Property: All custom firmware, control logic, and design documentation developed specifically for Northgate Industrial Solutions Inc. under this Purchase Order shall become the exclusive property of the buyer upon full payment.
- Warranty: The vendor shall provide a minimum 24-month warranty on all hardware components and a 12-month warranty on all software deliverables, commencing from the date of final acceptance testing in Canada Toronto.
- Confidentiality: The Mechatronics Engineer and all subcontractors shall sign a Non-Disclosure Agreement (NDA) prior to commencing work. All proprietary data, process parameters, and facility layouts of Northgate Industrial Solutions Inc. are strictly confidential.
- Termination: Either party may terminate this Purchase Order with 30 days written notice. In the event of termination for convenience, the vendor shall be compensated for all work completed and non-cancellable commitments incurred up to the termination date.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes shall be resolved through arbitration in Toronto, Ontario, Canada.
- Insurance: The vendor shall maintain comprehensive general liability insurance of no less than CAD $5,000,000 per occurrence and professional liability (errors and omissions) insurance of no less than CAD $2,000,000 for the duration of the contract.
