- Scope and Location: All services described in this Purchase Order shall be rendered by the designated Mechatronics Engineer at the buyer's facility located in Chile Santiago, specifically at Av. Apoquindo 4501, Las Condes. The Mechatronics Engineer acknowledges that all on-site work, inspections, and client meetings will take place within the Chile Santiago metropolitan area unless otherwise agreed in writing.
- Qualifications: The Mechatronics Engineer shall hold a valid professional license (Matrícula) issued by the Colegio de Ingenieros de Chile and shall demonstrate a minimum of eight (8) years of experience in mechatronic system design, industrial automation, and robotics integration. Proof of qualifications must be submitted prior to the commencement date.
- Payment Schedule: Payment shall be made in monthly installments corresponding to the services rendered during each calendar month. Invoices must be submitted by the 5th business day of the following month. The buyer shall process payment within thirty (30) calendar days of invoice receipt. Late payments shall accrue interest at the rate established by the Banco Central de Chile.
- Intellectual Property: All designs, code, schematics, and documentation produced by the Mechatronics Engineer under this Purchase Order shall become the exclusive property of Andes Industrial Automation S.A. upon full payment. The Mechatronics Engineer retains the right to reference the project in professional portfolios with prior written consent.
- Confidentiality: The Mechatronics Engineer agrees to maintain strict confidentiality regarding all proprietary information, trade secrets, and operational data encountered during the execution of this Purchase Order in Chile Santiago. This obligation shall survive the termination of this agreement for a period of three (3) years.
- Compliance with Chilean Law: This Purchase Order is governed by the laws of the Republic of Chile. Any disputes arising from this agreement shall be resolved in the competent courts of Chile Santiago. The Mechatronics Engineer shall comply with all applicable Chilean labor, tax, and industrial safety regulations, including NCh 1790 (industrial safety) and relevant DIAN tax obligations.
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the buyer shall compensate the Mechatronics Engineer for all services rendered up to the effective date of termination, plus a reasonable transition period of fifteen (15) days.
- Insurance and Liability: The Mechatronics Engineer shall maintain professional liability insurance with a minimum coverage of CLP 50,000,000 throughout the duration of this Purchase Order. The Mechatronics Engineer shall be responsible for any damage to equipment or injury to personnel resulting from negligent performance of duties at the Chile Santiago facility.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters (earthquakes, tsunamis), government-mandated shutdowns, or pandemics affecting operations in Chile Santiago.
- Acceptance: Deliverables shall be subject to a fifteen (15) business day acceptance period. The buyer shall notify the Mechatronics Engineer in writing of any non-conformities within this period. Failure to issue such notice shall constitute acceptance of the deliverable.
