This Purchase Order is issued by the Buyer to formally procure and engage the services of a qualified Mechatronics Engineer for the duration and scope of work specified herein. The Mechatronics Engineer shall be deployed to the Buyer’s primary operational facility located in China Beijing, specifically at the Haidian District manufacturing and R&D campus, to perform integrated mechanical, electrical, and software engineering tasks as part of the Buyer’s next-generation automated production line development programme.
The Mechatronics Engineer is expected to possess a minimum of seven (7) years of progressive experience in mechatronic system design, PLC programming, industrial robotics integration, sensor network architecture, and embedded control systems. The candidate must hold a recognised bachelor’s or master’s degree in Mechatronics Engineering, Mechanical Engineering, Electrical Engineering, or a closely related discipline from an accredited institution. Fluency in Mandarin Chinese is mandatory, and professional proficiency in English is required for all technical documentation and cross-functional communication within the China Beijing operations team.

Payment against this Purchase Order shall be made in monthly instalments, due within thirty (30) calendar days of receipt of a valid invoice from the Supplier. All payments shall be processed via bank transfer to the Supplier’s designated corporate account in Chinese Yuan (CNY). A 2% late-payment penalty shall apply to any overdue amounts. The Buyer reserves the right to withhold payment for any deliverable that does not meet the acceptance criteria defined in Appendix A of this Purchase Order.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the People’s Republic of China. Any disputes arising from the interpretation or performance of this Purchase Order shall be resolved through arbitration at the China International Economic and Trade Arbitration Commission (CIETAC) in China Beijing.
- Work Location: The Mechatronics Engineer shall perform all duties at the Buyer’s premises in China Beijing (Haidian District campus) during standard business hours (Monday to Friday, 08:30–17:30 CST), unless otherwise agreed in writing for project-critical milestones.
- Intellectual Property: All designs, code, documentation, and technical artefacts produced by the Mechatronics Engineer in the course of fulfilling this Purchase Order shall be the exclusive property of the Buyer. The Supplier warrants that no third-party intellectual property rights shall be infringed.
- Confidentiality: The Mechatronics Engineer shall sign a Non-Disclosure Agreement (NDA) prior to commencing work in China Beijing. All proprietary data, process parameters, and system architectures of the Buyer are classified as confidential and shall not be disclosed to any third party.
- Compliance and Safety: The Mechatronics Engineer shall comply with all applicable Chinese national standards (GB standards), local China Beijing municipal regulations, and the Buyer’s internal health, safety, and environmental (HSE) policies. A valid work permit and residence registration in China Beijing must be maintained throughout the engagement period.
- Termination: Either party may terminate this Purchase Order with sixty (60) days’ written notice. In the event of material breach, the non-breaching party may terminate immediately upon written notice. Upon termination, the Supplier shall deliver all work-in-progress documentation and materials to the Buyer within fourteen (14) days.
- Insurance: The Supplier shall maintain comprehensive professional liability insurance and workers’ compensation coverage for the Mechatronics Engineer at all times while performing services in China Beijing, with a minimum coverage of CNY 2,000,000 per occurrence.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government mandates, or public health emergencies affecting operations in China Beijing.
This Purchase Order shall become effective upon written acceptance by both parties. The Mechatronics Engineer is expected to commence on-site work at the China Beijing facility no later than 1 July 2025. The Supplier shall confirm the identity, qualifications, and availability of the assigned Mechatronics Engineer in writing within five (5) business days of this Purchase Order being countersigned.
