The scope of work assigned to the Mechatronics Engineer under this Purchase Order includes, but is not limited to: the development of PLC-based control systems for high-speed packaging machinery; the programming and calibration of six-axis industrial robotic arms used in the electronics assembly division; the integration of sensor networks and IoT-enabled monitoring systems across the China Guangzhou production floor; the troubleshooting and root-cause analysis of electromechanical failures; and the preparation of technical documentation in both English and Mandarin Chinese for internal engineering records.

All payments under this Purchase Order shall be made in Chinese Yuan (CNY) to the bank account designated by the Service Provider. Late payments shall accrue interest at a rate of 0.05% per calendar day in accordance with the Civil Code of the People's Republic of China.

1. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the People's Republic of China. Any disputes arising from the interpretation or performance of this Purchase Order related to the services of the Mechatronics Engineer in China Guangzhou shall be resolved through arbitration at the China International Economic and Trade Arbitration Commission (CIETAC) in Guangzhou.
2. Confidentiality: The Mechatronics Engineer shall maintain strict confidentiality regarding all proprietary designs, process parameters, trade secrets, and intellectual property belonging to Guangzhou Advanced Manufacturing Technologies Co., Ltd. This obligation shall survive the termination of this Purchase Order for a period of three (3) years.
3. Compliance: The Service Provider warrants that the Mechatronics Engineer holds all necessary work permits, residence visas, and professional certifications required to legally perform engineering services within the administrative boundaries of China Guangzhou. The Service Provider shall bear full responsibility for any regulatory non-compliance.
4. Insurance and Liability: The Service Provider shall maintain comprehensive professional liability insurance with a minimum coverage of ¥ 2,000,000 for the duration of this Purchase Order. The Mechatronics Engineer shall be covered under the employer's mandatory work-injury insurance as mandated by PRC labor regulations.
5. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of material breach by the Service Provider, the Purchasing Party may terminate immediately upon written notice. Upon termination, all company property, access credentials, and technical documentation in the possession of the Mechatronics Engineer must be returned within five (5) business days.
6. Intellectual Property: All inventions, designs, software code, and technical improvements developed by the Mechatronics Engineer during the term of this Purchase Order while performing duties at the China Guangzhou facility shall be the sole and exclusive property of the Purchasing Party.
7. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government-mandated shutdowns, or public health emergencies affecting operations in China Guangzhou.
8. Amendments: No modification or amendment to this Purchase Order shall be valid unless made in writing and signed by authorized representatives of both parties.

By signing below, both parties acknowledge that they have read, understood, and agree to all terms and conditions set forth in this Purchase Order for the engagement of the Mechatronics Engineer at the China Guangzhou facility. This document constitutes a binding agreement effective from the date of the last signature.
