This Purchase Order is issued by Shanghai Precision Automation Group Co., Ltd. (hereinafter referred to as the "Buyer") to Global Mechatronics Talent Solutions Ltd. (hereinafter referred to as the "Supplier") for the procurement and placement of a qualified Mechatronics Engineer to support the Buyer's advanced manufacturing and industrial automation operations located in China Shanghai. The Mechatronics Engineer shall be responsible for the design, integration, commissioning, and ongoing maintenance of electromechanical systems, programmable logic controllers (PLCs), industrial robotics, sensor networks, and embedded control systems across the Buyer's production facilities in the Pudong and Minhang industrial zones of Shanghai.

1. Contract Duration: This Purchase Order shall remain in effect for a period of twelve (12) months commencing from the date of the Mechatronics Engineer's official onboarding at the Buyer's China Shanghai facility, expected to be no later than 1 August 2025.
2. Payment Terms: The Buyer shall remit payment within thirty (30) calendar days of receipt of a valid invoice from the Supplier. Payment shall be made via bank transfer to the Supplier's designated account in China Shanghai. A 10% advance payment is due upon execution of this Purchase Order.
3. Work Location: All services under this Purchase Order shall be performed at the Buyer's premises located in Pudong New Area, China Shanghai, unless otherwise agreed in writing. The Mechatronics Engineer may be required to travel to secondary sites within the Shanghai metropolitan area as operationally necessary.
4. Compliance: The Supplier guarantees that the Mechatronics Engineer shall hold all necessary qualifications, certifications, and work permits required to legally perform engineering services in China Shanghai. The Supplier assumes full responsibility for compliance with the Labor Contract Law of the People's Republic of China and all applicable Shanghai municipal regulations.
5. Intellectual Property: All designs, programs, configurations, and technical documentation produced by the Mechatronics Engineer during the term of this Purchase Order shall be the exclusive property of the Buyer. The Mechatronics Engineer shall sign a non-disclosure and intellectual property assignment agreement prior to commencing work in China Shanghai.
6. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of material breach, the non-breaching party may terminate immediately upon written notice. Upon termination, the Buyer shall pay for all services rendered up to the termination date.
7. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the People's Republic of China. Any disputes arising from this Purchase Order shall be resolved through arbitration at the Shanghai International Arbitration Center (SHIAC) in China Shanghai.
8. Confidentiality: Both parties agree to maintain strict confidentiality regarding the terms of this Purchase Order, the technical specifications of the Buyer's systems, and all proprietary information of the Mechatronics Engineer's employer or the Supplier.

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the procurement of Mechatronics Engineer services in China Shanghai. This document constitutes a binding agreement between the parties upon execution.

This Purchase Order (PO-2025-SH-ME-0472) is the property of Shanghai Precision Automation Group Co., Ltd. Unauthorized reproduction or distribution is prohibited. All references to China Shanghai pertain to the municipal jurisdiction of Shanghai, People's Republic of China. The Mechatronics Engineer services described herein are subject to the qualifications and regulatory standards established by the Shanghai Municipal Commission of Economy and Informatization.
