1. This Purchase Order constitutes a binding agreement between the Buyer and the Supplier upon signature by both authorized representatives. All terms herein are governed by the laws of the French Republic, with jurisdiction vested in the commercial courts of France Lyon.
2. The Mechatronics Engineer assigned under this Purchase Order must hold a minimum of a Master’s degree in Mechatronics, Mechanical Engineering, or an equivalent discipline, and possess a minimum of eight (8) years of professional experience in industrial automation and control systems.
3. All work performed under this Purchase Order at the France Lyon facility shall comply with applicable French labor regulations, CE marking requirements, and the specific safety standards of the Auvergne-Rhône region.
4. The Supplier shall provide a replacement Mechatronics Engineer of equivalent or superior qualification within five (5) business days should the originally assigned engineer become unavailable for any reason.
5. Payment shall be made via bank transfer to the account specified by the Supplier. Invoices must reference this Purchase Order number (FR-LY-2025-04871) to be processed. Late payments shall incur interest at the rate prescribed by French commercial law.
6. The Mechatronics Engineer shall maintain full confidentiality regarding all proprietary processes, trade secrets, and technical data encountered during the engagement at the France Lyon site. A separate Non-Disclosure Agreement (NDA) is attached as Annex A.
7. Any modifications to the scope, timeline, or deliverables outlined in this Purchase Order must be documented in a written change order signed by both parties before implementation.
8. The Supplier warrants that all services rendered by the Mechatronics Engineer shall be performed in a professional and workmanlike manner, in accordance with industry best practices and the specifications detailed in Annex B of this Purchase Order.
9. Force majeure events, including but not limited to natural disasters, government-mandated closures, or public health emergencies affecting the France Lyon metropolitan area, shall suspend obligations under this Purchase Order for the duration of the event.
10. This Purchase Order may be terminated by either party with thirty (30) days’ written notice. In the event of termination, the Buyer shall compensate the Supplier for all services rendered and materials procured up to the termination date.

By signing below, both parties acknowledge and accept all terms, conditions, and specifications set forth in this Purchase Order for the engagement of a Mechatronics Engineer at the France Lyon facility. This document, together with its annexes, forms the complete and exclusive agreement between the parties with respect to the subject matter herein.
