Scope of Purchase – Mechatronics Engineer Services
This Purchase Order is issued by ProTech Industrial Solutions SAS for the engagement of a qualified Mechatronics Engineer to provide specialized technical services for the automation and control systems upgrade project located at our manufacturing facility in France Marseille. The Mechatronics Engineer shall be responsible for the design, integration, testing, and commissioning of mechatronic subsystems combining mechanical, electrical, and software components within the production line infrastructure situated in the Marseille industrial zone.

Terms and Conditions
- This Purchase Order constitutes a binding agreement between ProTech Industrial Solutions SAS and Advanced Mechatronics Consulting SARL upon signature by both parties. All services described herein shall be performed by a certified Mechatronics Engineer holding a minimum of eight (8) years of professional experience in industrial automation and mechatronic system design.
- All work related to this Purchase Order shall be executed at the ProTech Industrial Solutions facility located at 142 Boulevard de la République, 13001 France Marseille, or at such other site within the Marseille metropolitan area as mutually agreed in writing by both parties.
- The Mechatronics Engineer assigned to this Purchase Order shall comply with all applicable French labor regulations, occupational health and safety standards (Code du Travail), and the specific site safety protocols established by ProTech Industrial Solutions in France Marseille.
- Payment terms: Net 30 days from the date of invoice receipt. Invoices shall be submitted bi-weekly upon completion of each milestone. Late payments shall accrue interest at a rate of 1.5% per month in accordance with French commercial law (Article L441-10 du Code de commerce).
- The Mechatronics Engineer shall deliver all technical documentation, source code, schematics, and as-built drawings in both French and English. All intellectual property developed specifically for this Purchase Order shall vest in ProTech Industrial Solutions SAS upon full payment.
- Warranty: The Mechatronics Engineer shall provide a twelve (12) month warranty on all mechatronic systems designed, integrated, and commissioned under this Purchase Order, covering defects in design, programming, and workmanship.
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Mechatronics Engineer shall be compensated for all work completed up to the termination date, and all deliverables in progress shall be handed over to ProTech Industrial Solutions in France Marseille.
- Confidentiality: The Mechatronics Engineer and all personnel assigned under this Purchase Order shall maintain strict confidentiality regarding proprietary processes, trade secrets, and technical data of ProTech Industrial Solutions. This obligation shall survive termination for a period of five (5) years.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the French Republic. Any disputes arising herefrom shall be submitted to the exclusive jurisdiction of the Commercial Court of France Marseille (Tribunal de Commerce de Marseille).
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, strikes, governmental actions, or pandemics affecting operations in France Marseille or the broader Provence-Alpes-Côte d'Azur region.
