The Buyer hereby procures the professional services of a senior Mechatronics Engineer with a minimum of ten (10) years of demonstrated experience in the design, integration, and optimization of electromechanical systems. The Mechatronics Engineer shall be responsible for the following deliverables and activities, all to be carried out on-site in France Paris:

The Mechatronics Engineer assigned to fulfill the obligations under this Purchase Order must satisfy the following minimum qualifications: a Master's degree (Diplôme d'Ingénieur) in Mechatronics, Electrical Engineering, or a closely related discipline from an accredited French or European institution; professional certification in PLC/SCADA systems (Siemens, Allen-Bradley, or equivalent); demonstrated proficiency in industrial robotics programming (KUKA, FANUC, or ABB); and full working authorization within the French Republic. The Mechatronics Engineer must also hold a valid professional liability insurance policy with a minimum coverage of €5,000,000, as mandated for all engineering professionals operating in France Paris under the applicable provisions of the French Civil Code.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the French Republic. Any disputes arising from or in connection with this Purchase Order shall be submitted to the exclusive jurisdiction of the Tribunal de Commerce de Paris, located in France Paris.
- Payment Terms: The Buyer shall remit payment within thirty (30) calendar days of receipt of a valid invoice from the Supplier. Payment shall be made via bank transfer (virement bancaire) to the account designated by the Supplier. Late payments shall incur interest at the statutory rate prescribed by Article L441-10 of the French Commercial Code.
- Commencement and Duration: Services under this Purchase Order shall commence on 1 July 2025 and are expected to be completed no later than 30 September 2025. The Mechatronics Engineer shall be available on-site in France Paris Monday through Friday, between 08:00 and 18:00, unless otherwise agreed in writing.
- Intellectual Property: All designs, schematics, firmware code, and technical documentation produced by the Mechatronics Engineer in the course of performing services under this Purchase Order shall be the exclusive property of the Buyer upon full payment. The Supplier warrants that no third-party intellectual property rights shall be infringed.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding all proprietary information, trade secrets, and technical data exchanged in connection with this Purchase Order. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
- Health and Safety: The Mechatronics Engineer shall comply with all applicable French occupational health and safety regulations, including those set forth in the Code du Travail and the specific safety protocols established by the Buyer at its France Paris facility. The Supplier shall ensure that the Mechatronics Engineer undergoes a site-specific safety induction prior to commencing work.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall pay for all services rendered up to the date of termination, and the Mechatronics Engineer shall deliver all work-in-progress documentation to the Buyer.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government-mandated closures, or pandemics affecting operations in France Paris.
By signing below, both parties acknowledge that they have read, understood, and agree to be bound by all terms and conditions set forth in this Purchase Order. The Buyer authorizes the Supplier to assign a qualified Mechatronics Engineer to perform the services described herein at the designated location in France Paris. The Supplier confirms its capacity to deliver the specified services in full compliance with all applicable French and European regulations.
