The Mechatronics Engineer(s) shall commence on-site work at the buyer's facility in Germany Frankfurt no later than 1 August 2025. All personnel must hold valid work permits or residence authorizations for Germany and must comply with all local labor regulations applicable in the Frankfurt am Main metropolitan area. The supplier guarantees that the Mechatronics Engineer assigned under this Purchase Order possesses a minimum of eight (8) years of professional experience in mechatronic system design, holds a recognized engineering degree (Diplom-Ingenieur or equivalent), and is fluent in both German and English to facilitate seamless communication within the Germany Frankfurt operations team.
- Payment Terms: Payment for this Purchase Order shall be made in monthly installments within thirty (30) calendar days of receipt of a valid invoice from the supplier. Invoices must reference Purchase Order number PO-2025-FRA-ME-04782 and be issued in accordance with German commercial invoicing regulations (GoBD-compliant).
- Performance Guarantee: The supplier warrants that the Mechatronics Engineer shall deliver all technical outputs in compliance with the specifications outlined in Annex A of this Purchase Order. Failure to meet agreed milestones in Germany Frankfurt shall entitle the buyer to a penalty of 2% of the monthly fee per day of delay, up to a maximum of 15%.

The supplier is responsible for ensuring full compliance with German labor law (Arbeitszeitgesetz) regarding working hours and rest periods.
- Termination: Either party may terminate this Purchase Order with a written notice period of sixty (60) days. In the event of termination, the buyer shall pay for all services rendered by the Mechatronics Engineer up to the effective date of termination.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Federal Republic of Germany. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in Frankfurt am Main, Germany.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government mandates, or industrial strikes affecting operations in Germany Frankfurt.
