This Purchase Order is issued by Bavaria Industrial Automation GmbH to formally request and authorize the procurement of specialized professional services rendered by a qualified Mechatronics Engineer. The Mechatronics Engineer engaged under this Purchase Order shall perform the following duties at the Germany Munich site:
(a) Design and development of integrated mechatronic control systems for automated assembly lines, including PLC programming, sensor integration, and actuator calibration.
(b) Conducting feasibility studies and technical assessments for the upgrade of existing production equipment at the Germany Munich manufacturing plant.
(c) Supervising the installation and commissioning of robotic workstations and ensuring full compliance with German and European safety standards (DIN EN ISO 13849, IEC 62443).
(d) Preparing detailed technical documentation, including system schematics, wiring diagrams, and operational manuals in both German and English for the Germany Munich engineering team.
(e) Providing ongoing technical support and troubleshooting for a minimum of twelve (12) months following the initial commissioning phase at the Germany Munich facility.

4.1 This Purchase Order constitutes a binding agreement between the parties upon signature. All services described herein shall be rendered by the Mechatronics Engineer at the designated location in Germany Munich in accordance with the specifications outlined in Section 2.
4.2 The Mechatronics Engineer must hold a minimum of a Master's degree in Mechatronics Engineering or an equivalent qualification recognized by the German engineering accreditation body (Fakultät für Maschinenbau) and possess a minimum of eight (8) years of professional experience in industrial mechatronic systems.
4.3 All work performed under this Purchase Order at the Germany Munich facility shall comply with applicable German labor laws, occupational health and safety regulations (ArbSchG), and data protection requirements under the GDPR (DSGVO).
4.4 The supplier shall ensure that the Mechatronics Engineer is fully insured, including professional liability insurance and statutory social security contributions as mandated by German law for personnel operating in Germany Munich.
4.5 Any modifications to the scope of work, timeline, or deliverables under this Purchase Order must be documented in a written change order signed by both parties prior to implementation.
4.6 In the event of a dispute arising from this Purchase Order, the parties agree to first attempt resolution through mediation. Should mediation fail, the dispute shall be submitted to the competent commercial court in Germany Munich (Landgericht München).
4.7 The Mechatronics Engineer shall be bound by a non-disclosure agreement (NDA) covering all proprietary information, trade secrets, and technical data encountered during the engagement at the Germany Munich site. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
By signing below, both parties acknowledge and accept all terms, conditions, and specifications set forth in this Purchase Order for the engagement of a Mechatronics Engineer at the Germany Munich facility. This document authorizes the supplier to commence recruitment, onboarding, and deployment of the qualified Mechatronics Engineer in accordance with the timeline specified herein.
