This Purchase Order is issued by Apex Automation Systems Pvt. Ltd. to engage the services of a qualified Mechatronics Engineer for the design, development, integration, and commissioning of an automated production line at the company's manufacturing facility located in India Bangalore. The Mechatronics Engineer shall be responsible for all mechanical, electrical, and software components of the project, ensuring full compliance with Indian industrial standards (BIS) and applicable regulations of the Karnataka State Industrial Safety Authority.

1. This Purchase Order constitutes a binding agreement between the Buyer and the Seller upon signature by both parties. All work shall be performed in and around India Bangalore unless otherwise specified in writing.
2. The Mechatronics Engineer shall submit a detailed project plan, including Gantt chart and milestone deliverables, within 5 working days of acceptance of this Purchase Order.
3. Payment terms: 30% advance upon signing, 40% upon successful commissioning and 72-hour trial run, and 30% upon completion of the 12-month warranty period. All payments shall be made via bank transfer to the account specified by the Mechatronics Engineer.
4. All equipment and materials supplied under this Purchase Order shall be new, unused, and conform to the specifications outlined in Annexure A (attached separately). The Mechatronics Engineer warrants that all components meet BIS and IEC standards applicable in India Bangalore.
5. The project timeline shall not exceed 90 calendar days from the date of this Purchase Order. Delays attributable to the Mechatronics Engineer shall incur a penalty of 0.5% of the total contract value per day of delay, capped at 10%.
6. Intellectual property developed specifically for Apex Automation Systems under this engagement shall vest with the Buyer. The Mechatronics Engineer retains rights to pre-existing tools, libraries, and methodologies.
7. Disputes arising from this Purchase Order shall be resolved through arbitration in India Bangalore in accordance with the Arbitration and Conciliation Act, 1996. The governing law shall be the laws of India.
8. The Mechatronics Engineer shall maintain adequate professional indemnity insurance (minimum ₹50,00,000) throughout the project duration and shall provide a certificate of insurance upon request.
9. Confidentiality: Both parties agree to maintain strict confidentiality regarding proprietary designs, processes, and business information exchanged during the course of this Purchase Order.
10. This Purchase Order is valid for acceptance within 30 days of the issue date. Failure to accept within this period shall render this document null and void.

All on-site work, including installation, commissioning, and training, shall be carried out at the following location in India Bangalore:
Apex Automation Systems Pvt. Ltd., Plot 42, Industrial Area, Whitefield Road, India Bangalore, Karnataka – 560066. The Mechatronics Engineer shall coordinate with the site supervisor (Mr. K. Venkatesh, Ext. 204) for access and scheduling.
