The Mechatronics Engineer shall be responsible for the design, integration, testing, and commissioning of automated production lines incorporating mechanical systems, electronic control units, embedded software, and industrial robotics. All services under this Purchase Order shall be executed within the geographical jurisdiction of India Mumbai, specifically at the Andheri East plant premises, and shall comply with all applicable Indian engineering standards, Bureau of Indian Standards (BIS) regulations, and local municipal by-laws governing industrial operations in the city of Mumbai.

1. This Purchase Order constitutes a binding agreement between the Buyer and the Supplier upon countersignature. All services shall be rendered exclusively at the designated site in India Mumbai unless otherwise authorized in writing by the Buyer.
2. The Mechatronics Engineer assigned under this Purchase Order must hold a minimum of a Bachelor's degree in Mechatronics Engineering, Mechanical Engineering, or Electrical Engineering from an AICTE-approved institution in India, with a minimum of 8 years of relevant industrial experience.
3. Payment shall be made within 30 days of receipt of a valid tax invoice from the Supplier. All payments shall be processed via NEFT/RTGS to the Supplier's designated bank account in India Mumbai. The Buyer reserves the right to withhold payment for any deliverables not meeting the specifications outlined in this Purchase Order.
4. The Mechatronics Engineer shall adhere to all health, safety, and environmental (HSE) protocols mandated by the Maharashtra State Industrial Safety Authority and the local municipal corporation of Mumbai. Personal protective equipment (PPE) shall be provided by the Buyer at the India Mumbai site.
5. Any change in scope, extension of duration, or modification to the technical requirements of the Mechatronics Engineer's duties must be documented through a formal Purchase Order amendment signed by both parties. No verbal modifications to this Purchase Order shall be valid.
6. The Supplier warrants that the Mechatronics Engineer shall not be engaged in any concurrent project with a competing entity within the India Mumbai industrial corridor during the tenure of this engagement.
7. All intellectual property, design documents, firmware code, and technical reports generated by the Mechatronics Engineer under this Purchase Order shall remain the exclusive property of the Buyer. The Supplier shall execute a non-disclosure agreement (NDA) prior to commencing work at the India Mumbai facility.
8. Disputes arising from this Purchase Order shall be resolved through arbitration in Mumbai, Maharashtra, India, in accordance with the Arbitration and Conciliation Act, 1996. The jurisdiction of courts in India Mumbai shall be exclusively applicable.
9. This Purchase Order is subject to the Indian Contract Act, 1872, and all applicable labor and professional service regulations of the State of Maharashtra, India.
