This Purchase Order is issued by Apex Industrial Automation Pvt. Ltd. for the engagement of a qualified Mechatronics Engineer to provide specialized technical services at the buyer's manufacturing facility located in India New Delhi. The Mechatronics Engineer shall be responsible for the design, integration, commissioning, and ongoing maintenance of automated production lines, programmable logic controllers (PLCs), industrial robotics, and sensor-based control systems within the Okhla Industrial Area plant.
The scope of work assigned to the Mechatronics Engineer includes but is not limited to: (a) development of control algorithms for CNC machining centres; (b) programming and troubleshooting of Siemens S7-1500 and Allen-Bradley ControlLogix PLC platforms; (c) installation and calibration of servo drives, variable frequency drives, and pneumatic actuators; (d) creation of HMI/SCADA interfaces for real-time monitoring; (e) preparation of technical documentation, wiring diagrams, and as-built drawings; and (f) coordination with the plant's electrical and mechanical teams to ensure seamless integration of mechatronic subsystems.

All services under this Purchase Order shall be performed at the buyer's facility situated in Okhla Industrial Area Phase II, India New Delhi, 110020. The Mechatronics Engineer is expected to report to the site on all working days (Monday through Saturday, 09:00 to 18:00 IST) and shall comply with all site safety protocols, including mandatory use of personal protective equipment (PPE) as per the Factories Act, 1948, and applicable Delhi State Industrial Safety Regulations.
- Payment shall be made within thirty (30) days from the date of receipt of a valid tax invoice from DeltaTech Engineering Solutions LLP, subject to satisfactory completion of the corresponding milestone.
- Monthly professional fees for the Mechatronics Engineer shall be invoiced on the 1st of each calendar month for the preceding month's services rendered at the India New Delhi site.
- Project-based charges (robotic cell commissioning, PLC reprogramming) shall be invoiced in two equal installments: 50% upon commencement and 50% upon successful commissioning and sign-off by the buyer's plant engineer.
- All payments shall be made via NEFT/RTGS to the seller's designated bank account. No cash payments shall be accepted under this Purchase Order.
- The seller shall issue a GST-compliant tax invoice in accordance with the Central Goods and Services Tax Act, 2017, and the applicable Delhi State rules.
- Any delay in payment beyond the stipulated 30-day window shall attract interest at the rate of 12% per annum, calculated on a monthly reducing balance basis.
The Mechatronics Engineer engaged under this Purchase Order must hold a minimum of a Bachelor of Engineering (B.E./B.Tech) degree in Mechatronics, Mechanical Engineering, or Electrical & Electronics Engineering from an AICTE-approved institution in India, with a minimum of five (5) years of post-qualification experience in industrial automation. The engineer must possess valid certifications in at least one major PLC platform (Siemens, Allen-Bradley, or Mitsubishi) and demonstrate proficiency in CAD/CAM tools such as AutoCAD Electrical or EPLAN. The seller warrants that the Mechatronics Engineer shall not be under any non-disclosure or non-compete restriction that would conflict with the duties assigned under this Purchase Order.
- This Purchase Order constitutes the entire agreement between the parties with respect to the procurement of Mechatronics Engineer services and supersedes all prior negotiations, representations, or agreements.
- The seller shall maintain adequate professional indemnity and public liability insurance coverage for the duration of the engagement at the India New Delhi site.
- Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the buyer shall pay for all services rendered up to the effective date of termination.
- All intellectual property, designs, code, and documentation created by the Mechatronics Engineer in the course of performing duties under this Purchase Order shall vest exclusively in the buyer.
- Disputes arising under this Purchase Order shall be resolved by arbitration in accordance with the Arbitration and Conciliation Act, 1996, with the seat of arbitration in New Delhi, India. The language of arbitration shall be English.
- This Purchase Order shall be governed by and construed in accordance with the laws of India, with specific reference to the applicable regulations of the National Capital Territory of Delhi.
