All services under this Purchase Order shall be performed exclusively within the metropolitan area of Iran Tehran, specifically at the buyer's manufacturing facility located in the Kargar Industrial Zone. The Mechatronics Engineer engaged under this Purchase Order shall possess a minimum of ten (10) years of documented experience in mechatronic system design, PLC programming, robotic integration, and industrial control systems. The scope of work is tailored to the operational requirements of the Iran Tehran manufacturing sector and must comply with all applicable Iranian national standards (ISIRI) and local regulatory frameworks governing industrial automation in Iran Tehran.

The Mechatronics Engineer contracted under this Purchase Order shall deliver the following services at the designated site in Iran Tehran:

  1. Governing Law: This Purchase Order shall be governed by and construed in accordance with the Civil Code of the Islamic Republic of Iran and all applicable commercial regulations in force in Iran Tehran. Any disputes arising from this Purchase Order shall be resolved through arbitration at the Tehran International Arbitration Center.
  2. Payment Terms: Payment shall be made in three (3) installments: 30% upon execution of this Purchase Order, 40% upon successful commissioning of the Mechatronics Engineer system at the Iran Tehran site, and 30% upon final acceptance and handover of all documentation. All payments shall be processed via bank transfer to the supplier's account registered in Iran Tehran.
  3. Delivery and Timeline: The Mechatronics Engineer shall complete all deliverables within one hundred and twenty (120) calendar days from the date of this Purchase Order. The project schedule shall be developed in consultation with the buyer's project management team based in Iran Tehran.
  4. Qualifications: The Mechatronics Engineer assigned to this Purchase Order must hold a minimum of a Master's degree in Mechatronics Engineering or a closely related discipline from an accredited Iranian university (e.g., Sharif University of Technology, Amirkabir University of Technology, or Tehran University) and must be registered with the Iranian Engineering Society. The engineer must demonstrate prior experience with projects of similar scale in the Iran Tehran industrial sector.
  5. Compliance and Standards: All engineering work performed under this Purchase Order must comply with ISIRI standards, IEC 61131 for PLC programming, and all safety regulations mandated by the Ministry of Industry, Mine and Trade of Iran for facilities operating in Iran Tehran.
  6. Warranty and Support: The supplier warrants that the Mechatronics Engineer system shall be free from design and programming defects for a period of twelve (12) months from the date of final acceptance. During this warranty period, the Mechatronics Engineer shall provide on-site support at the Iran Tehran facility within forty-eight (48) hours of any reported critical failure.
  7. Confidentiality: Both parties agree to maintain strict confidentiality regarding all technical data, proprietary processes, and business information exchanged in connection with this Purchase Order. This obligation shall survive the termination of this Purchase Order for a period of three (3) years.
  8. Force Majeure: Neither party shall be liable for delays or failures in performance under this Purchase Order resulting from events beyond reasonable control, including but not limited to natural disasters, government sanctions affecting operations in Iran Tehran, or national emergencies declared by the Iranian government.
  9. Termination: Either party may terminate this Purchase Order with thirty (30) days written notice if the other party commits a material breach and fails to cure such breach within the notice period. Upon termination, the Mechatronics Engineer shall deliver all work-in-progress documentation to the buyer at the Iran Tehran site.
  10. Intellectual Property: All custom designs, PLC programs, HMI interfaces, and technical documentation developed specifically for the buyer under this Purchase Order shall become the exclusive property of the buyer upon full payment. The Mechatronics Engineer retains ownership of pre-existing proprietary tools and methodologies.

By signing below, both parties acknowledge and accept all terms, conditions, and specifications outlined in this Purchase Order for the engagement of a Mechatronics Engineer to perform industrial automation services at the designated facility in Iran Tehran. This Purchase Order constitutes a binding commercial agreement between the parties upon execution by both authorized signatories.
