This Purchase Order is issued by Roma Industrial Automation S.r.l. (hereinafter referred to as the "Buyer") to EuroTech Engineering Solutions SpA (hereinafter referred to as the "Seller") for the professional engagement of a qualified Mechatronics Engineer to be deployed and performing all assigned duties within the metropolitan area of Italy Rome, specifically at the Buyer's manufacturing and R&D facility located in the EUR district of Rome, Italy. The Mechatronics Engineer shall be responsible for the design, integration, testing, and maintenance of electromechanical systems, programmable logic controllers (PLCs), industrial robotics, and sensor networks that form the core of the Buyer's automated production lines. All work related to this Purchase Order shall be carried out in full compliance with the Italian Legislative Decree 81/2008 on workplace safety, the applicable regional regulations of Lazio, and the municipal bylaws governing industrial operations in the city of Rome, Italy.

- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Italian Republic. Any disputes arising from or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts of Rome, Italy.
- Commencement and Duration: The Mechatronics Engineer shall commence duties no later than 1 July 2025 at the Buyer's premises in Rome, Italy. The total engagement period under this Purchase Order shall not exceed twelve (12) calendar months from the commencement date, subject to mutual written agreement for extension.
- Payment Terms: Invoices shall be submitted monthly in arrears. Payment shall be made via bank transfer (bonifico bancario) to the Seller's designated Italian bank account within thirty (30) days of receipt of a valid invoice. Late payments shall accrue interest at the rate prescribed by Article 634 of the Italian Civil Code.
- Work Location: All on-site activities under this Purchase Order shall be performed at the Buyer's facility in Rome, Italy, or at such other locations within the Lazio region as mutually agreed in writing. The Mechatronics Engineer shall comply with all site-specific safety protocols and Italian occupational health and safety regulations.
- Intellectual Property: All designs, code, documentation, and technical deliverables produced by the Mechatronics Engineer in the course of fulfilling this Purchase Order shall be the exclusive property of the Buyer upon full payment. The Seller warrants that no third-party intellectual property rights shall be infringed.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding all proprietary information, trade secrets, and technical data exchanged in connection with this Purchase Order. This obligation shall survive the termination of the engagement for a period of five (5) years.
- Termination: Either party may terminate this Purchase Order by providing sixty (60) days' written notice. In the event of material breach, the non-breaching party may terminate immediately upon written notice. Termination shall not affect accrued payment obligations.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, strikes, or government-mandated closures affecting operations in Rome, Italy.
- Compliance: The Seller warrants that the Mechatronics Engineer assigned under this Purchase Order holds a valid Italian professional registration (Albo Ingegneri) and possesses all necessary qualifications to perform mechatronic engineering work in compliance with Italian and European Union directives.
By signing below, both parties acknowledge and accept all terms, conditions, and specifications set forth in this Purchase Order for the engagement of the Mechatronics Engineer in Italy Rome. This document constitutes a binding commercial agreement upon execution by both authorized representatives.
