This Purchase Order is issued by Sahel Industrial Automation S.A. to formally engage the services of a qualified Mechatronics Engineer for the design, integration, and commissioning of automated production systems at the buyer's manufacturing facility located in Ivory Coast Abidjan. The Mechatronics Engineer shall be responsible for the following scope of work:

3.1 Scope and Standards: The Mechatronics Engineer shall perform all services in strict compliance with the technical specifications outlined in Annex A of this Purchase Order, as well as applicable Ivorian industrial safety regulations and ISO 10218 standards for industrial robots. All deliverables must meet the quality benchmarks established for operations in Ivory Coast Abidjan's industrial zone.
3.2 Payment Terms: Payment shall be made in three installments: 30% upon signing of this Purchase Order, 40% upon successful commissioning of the primary mechatronic systems, and 30% upon final acceptance and completion of the post-commissioning support period. All payments shall be processed via bank transfer to the account designated by the Mechatronics Engineer.
3.3 Delivery and Location: All on-site work shall be conducted at the buyer's facility in Zone 4, Cocody, Abidjan, Ivory Coast. The Mechatronics Engineer is expected to be physically present in Ivory Coast Abidjan for a minimum of 85% of the contracted duration. Any travel or accommodation expenses incurred within the Abidjan metropolitan area are included in the unit prices stated above.
3.4 Intellectual Property: All designs, source code, schematics, and technical documentation produced by the Mechatronics Engineer under this Purchase Order shall become the exclusive property of Sahel Industrial Automation S.A. upon full payment. The Mechatronics Engineer retains the right to reference the project in professional portfolios with prior written consent.
3.5 Confidentiality: The Mechatronics Engineer agrees to maintain strict confidentiality regarding all proprietary manufacturing processes, trade secrets, and operational data encountered during the engagement in Ivory Coast Abidjan. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
3.6 Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Mechatronics Engineer shall be compensated for all services rendered up to the date of termination, and all work-in-progress materials shall be handed over to the buyer.
3.7 Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through amicable negotiation. Should negotiation fail, the matter shall be submitted to the competent commercial courts of Abidjan, Ivory Coast, in accordance with Ivorian civil and commercial law.
3.8 Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Côte d'Ivoire, including all applicable regulations pertaining to professional engineering services and industrial procurement in Ivory Coast Abidjan.
4. ACCEPTANCE AND AUTHORIZATIONBy signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order for the engagement of the Mechatronics Engineer in Ivory Coast Abidjan.
