This Purchase Order is issued by Kanto Industrial Automation Systems Co., Ltd. for the professional engagement of a qualified Mechatronics Engineer to be deployed at our primary manufacturing and R&D facility located in Japan Tokyo. The Mechatronics Engineer shall be responsible for the design, integration, testing, and maintenance of automated production lines, robotic assembly systems, and embedded control units that combine mechanical, electrical, and software engineering disciplines. The scope of work for this Mechatronics Engineer includes but is not limited to the following deliverables and responsibilities:

4.1 This Purchase Order is governed by the laws of Japan and specifically the commercial regulations applicable to the Tokyo metropolitan area. All disputes arising from this Purchase Order shall be resolved through arbitration in Japan Tokyo under the rules of the Japan Commercial Arbitration Association.
4.2 The Mechatronics Engineer engaged under this Purchase Order must hold a minimum of a Bachelor's degree in Mechatronics Engineering, Mechanical Engineering, or Electrical Engineering, with a minimum of five (5) years of demonstrated professional experience in industrial automation, robotics, or embedded systems. The Mechatronics Engineer must be proficient in Japanese (JLPT N2 or above) and English (business level) to effectively communicate with the Japan Tokyo-based team and international stakeholders.
4.3 The vendor shall ensure that the Mechatronics Engineer complies with all occupational safety standards mandated by the Japan Tokyo Metropolitan Government and the Ministry of Health, Labour and Welfare. The Mechatronics Engineer shall be provided with appropriate personal protective equipment (PPE) and safety training prior to commencing work on the production floor.
4.4 Payment shall be processed via bank transfer to the account designated by the vendor. Invoices must be submitted by the 5th of each month for the preceding month's services. Late payments shall incur an interest charge of 1.5% per month as stipulated under Japanese commercial law.
4.5 The vendor reserves the right to replace the assigned Mechatronics Engineer with a qualified substitute of equivalent or superior credentials, provided that a minimum of fourteen (14) days' written notice is given to the issuing company. The substitute Mechatronics Engineer must meet all qualification criteria specified in Section 4.2 of this Purchase Order.
4.6 All intellectual property, designs, firmware, documentation, and technical data produced by the Mechatronics Engineer during the term of this Purchase Order shall be the exclusive property of Kanto Industrial Automation Systems Co., Ltd. The Mechatronics Engineer shall sign a non-disclosure agreement (NDA) and intellectual property assignment document prior to the start date.
4.7 This Purchase Order may be terminated by either party with a thirty (30) day written notice. In the event of termination, the vendor shall be compensated for all services rendered up to the effective date of termination, and the Mechatronics Engineer shall complete a formal handover of all ongoing projects and documentation.
By signing below, both parties acknowledge and agree to the terms, conditions, and scope of work outlined in this Purchase Order for the engagement of a Mechatronics Engineer at the Japan Tokyo facility. This document constitutes a binding commercial agreement effective from the date of the last signature.
