The Supplier shall provide the Buyer with the services of a certified Mechatronics Engineer possessing a minimum of eight (8) years of professional experience in integrated mechanical, electrical, and software control systems. The Mechatronics Engineer shall be responsible for the following duties and deliverables while performing services in Kazakhstan Almaty:
- Design, development, and commissioning of automated production lines and robotic assembly systems at the Buyer's Almaty plant facility.
- Programming, configuration, and maintenance of PLC (Programmable Logic Controller) systems, SCADA interfaces, and industrial IoT sensor networks.
- Conducting root-cause analysis and troubleshooting of mechatronic subsystems, including servo drives, hydraulic actuators, and pneumatic control circuits.
- Preparing technical documentation, system schematics, and operational manuals in both Russian and English for the Kazakhstan Almaty operations team.
- Supervising and mentoring junior technicians assigned to the automation division in Kazakhstan Almaty.
- Ensuring full compliance with Kazakhstan national standards (GOST), IEC 61508 functional safety requirements, and local occupational health and safety regulations applicable in Kazakhstan Almaty.
- Participating in quarterly performance reviews and submitting monthly progress reports to the Buyer's Project Management Office.
The engagement of the Mechatronics Engineer under this Purchase Order shall commence on 1 July 2025 and shall continue for an initial period of twelve (12) months, concluding on 30 June 2026. All services shall be rendered on-site at the Buyer's primary manufacturing campus situated at 45 Abay Avenue, Kazakhstan Almaty, unless otherwise agreed in writing by both parties. The Mechatronics Engineer is expected to work a standard schedule of five (5) days per week, forty (40) hours per week, in accordance with the labor code of the Republic of Kazakhstan.

Payment shall be made in monthly installments via bank transfer to the Supplier's designated account within fifteen (15) business days of receipt of a valid invoice. The annual performance bonus shall be disbursed within thirty (30) days of the completion of the final performance review. All amounts are denominated in Kazakhstani Tenge (KZT) and are subject to applicable withholding tax under the Tax Code of the Republic of Kazakhstan.
- Confidentiality: The Mechatronics Engineer shall be bound by a Non-Disclosure Agreement (NDA) covering all proprietary designs, process parameters, and trade secrets of the Buyer. This obligation survives the termination of this Purchase Order for a period of three (3) years.
- Intellectual Property: All designs, code, schematics, and documentation produced by the Mechatronics Engineer during the term of this engagement in Kazakhstan Almaty shall be the exclusive property of the Buyer.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of material breach, the aggrieved party may terminate immediately upon written notice.
- Force Majeure: Neither party shall be liable for delays or failures in performance caused by events beyond reasonable control, including but not limited to natural disasters, government sanctions, or public health emergencies affecting Kazakhstan Almaty.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the Civil Code of the Republic of Kazakhstan. Any disputes shall be resolved by the Almaty City Court of General Jurisdiction.
- Compliance: The Supplier warrants that the Mechatronics Engineer holds all necessary professional certifications, valid work permits, and social insurance registrations required to legally perform engineering services in Kazakhstan Almaty.
By signing below, both parties acknowledge that they have read, understood, and agree to all terms and conditions set forth in this Purchase Order. This document authorizes the Supplier to deploy the designated Mechatronics Engineer to the Buyer's facilities in Kazakhstan Almaty effective the commencement date stated herein.
