This Purchase Order is issued by East Africa Industrial Solutions Ltd. for the procurement of professional services rendered by a qualified Mechatronics Engineer to be deployed at our manufacturing facility located in Kenya Nairobi. The Mechatronics Engineer shall be responsible for the design, installation, commissioning, and ongoing maintenance of integrated electromechanical systems, programmable logic controllers (PLCs), industrial robotics, and automated production lines at our Kenya Nairobi plant. The scope of work encompasses the full lifecycle management of mechatronic systems, including fault diagnosis, performance optimization, and the development of custom control solutions tailored to the operational requirements of our Kenya Nairobi manufacturing operations.

1. This Purchase Order is governed by the laws of the Republic of Kenya and shall be interpreted in accordance with the Kenya Contracts Act, 2006.
2. The Mechatronics Engineer shall commence duties no later than 1st August 2025 at the designated facility in Kenya Nairobi. A mobilization period of fourteen (14) calendar days is permitted prior to the start date.
3. Payment shall be made in monthly installments of KES 822,633 (inclusive of VAT) within fourteen (14) business days of receipt of a valid invoice and satisfactory performance certification by the Buyer's Operations Manager.
4. The Mechatronics Engineer shall maintain valid professional registration with the Engineering Board of Kenya and shall provide proof of registration upon commencement of the contract.
5. All work performed under this Purchase Order shall comply with the Kenya Bureau of Standards (KEBS) regulations, the Occupational Safety and Health Act (OSHA) of Kenya, and all applicable industrial safety standards in Kenya Nairobi.
6. The Vendor shall indemnify the Buyer against any claims, losses, or damages arising from negligence, gross misconduct, or failure to perform by the Mechatronics Engineer or any sub-contracted personnel.
7. Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall be liable only for services rendered up to the effective date of termination.
8. All intellectual property, designs, schematics, and documentation created specifically for the Buyer's Kenya Nairobi facility shall remain the exclusive property of East Africa Industrial Solutions Ltd.
9. The Mechatronics Engineer shall be subject to the Buyer's site safety protocols, access control procedures, and confidentiality agreements applicable to all personnel operating within the Kenya Nairobi industrial premises.
10. Disputes arising from this Purchase Order shall be resolved through mediation in Kenya Nairobi, and failing resolution within sixty (60) days, through arbitration under the rules of the Chartered Institute of Arbitrators (Kenya Branch).

The Mechatronics Engineer shall report to the East Africa Industrial Solutions Ltd. factory premises located along Mombasa Road, Industrial Area, Kenya Nairobi. The first day of service shall be 1st August 2025. The contract duration is twelve (12) months, renewable by mutual written agreement. The Mechatronics Engineer shall work a standard schedule of Monday to Friday, 08:00 to 17:00 East Africa Time, with on-call availability as specified in Line Item 02 of this Purchase Order.

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order. This document constitutes a binding agreement for the procurement of Mechatronics Engineer services in Kenya Nairobi as described herein.
