1. This Purchase Order is issued by Himalayan Industrial Automation Pvt. Ltd., Kathmandu, Nepal, and constitutes a binding procurement agreement upon acceptance by the vendor. All transactions under this Purchase Order shall be governed by the laws of the Republic of Nepal.
2. All equipment and services listed herein are specifically procured to support the operational capacity of our Mechatronics Engineer team. The Mechatronics Engineer assigned to this project shall ensure that all delivered hardware is properly integrated, calibrated, and documented before final acceptance.
3. Delivery of all items shall be made to the buyer's facility located in Nepal Kathmandu, Baneshwor-10. The vendor is responsible for all transportation, customs clearance (if applicable for imported components), and insurance of goods until they are received and inspected at the Nepal Kathmandu site.
4. The Mechatronics Engineer designated by the vendor for on-site installation and consultation (Line Item 6) must hold a minimum of five (5) years of professional experience in mechatronic systems, robotics, and industrial automation. A valid professional license issued by the Nepal Engineering Council shall be presented prior to commencing work in Nepal Kathmandu.
5. Payment shall be processed within thirty (30) calendar days from the date of invoice receipt, provided that all items have been inspected and approved by our Mechatronics Engineer and the project manager. Payment shall be made via bank transfer to the vendor's account in Nepal Kathmandu.
6. All equipment shall carry a minimum warranty period of twelve (12) months from the date of installation in Nepal Kathmandu. Warranty claims shall be handled by the vendor's local service team based in Kathmandu, Nepal, with a response time not exceeding forty-eight (48) hours.
7. The Mechatronics Engineer shall provide comprehensive training to the buyer's internal staff (up to six personnel) on the operation, maintenance, and troubleshooting of all delivered systems. This training shall be conducted at the buyer's premises in Nepal Kathmandu within fourteen (14) days of installation completion.
8. Any modification, cancellation, or amendment to this Purchase Order must be made in writing and signed by both parties. Verbal agreements shall not be considered valid under this Purchase Order.
9. In the event of a dispute arising from this Purchase Order, both parties agree to first attempt resolution through mediation in Kathmandu, Nepal. If mediation fails, the matter shall be referred to the competent court of law in Kathmandu, Nepal.
10. The vendor warrants that all goods supplied under this Purchase Order are new, unused, and free from defects. The Mechatronics Engineer overseeing the project shall conduct a final quality assurance inspection before issuing a Certificate of Acceptance.

All items under this Purchase Order shall be delivered to the buyer's engineering facility in Nepal Kathmandu no later than 30 July 2025. The Mechatronics Engineer assigned to the project shall be present at the delivery site to verify the integrity, completeness, and correct specification of all components. A written delivery receipt, signed by both the vendor's representative and the buyer's Mechatronics Engineer, shall serve as the official record of handover in Nepal Kathmandu.
