3. Scope of Work & Item Description

This Purchase Order is issued by Nigerian Industrial Automation & Systems Ltd. to engage the services of a qualified Mechatronics Engineer for the design, integration, commissioning, and maintenance of an automated production line at the company's manufacturing facility located in Nigeria Abuja. The Mechatronics Engineer shall be responsible for the following deliverables:

4. Delivery & Performance Schedule

The Mechatronics Engineer shall commence work on 1 July 2025 at the NIASL facility in Nigeria Abuja. The complete system shall be commissioned and handed over no later than 30 September 2025. All deliverables, including documentation and training, must be completed within the stipulated timeline. Any delay beyond the agreed schedule shall attract a penalty of 0.5% of the total contract value per calendar day of delay, capped at 10% of the total contract value.

5. Payment Terms

Payment for this Purchase Order shall be made in the following milestones via bank transfer to the Mechatronics Engineer's designated account:

6. Terms and Conditions

  1. This Purchase Order constitutes a binding agreement between Nigerian Industrial Automation & Systems Ltd. and the named Mechatronics Engineer upon signature by both parties.
  2. The Mechatronics Engineer shall comply with all applicable Nigerian engineering standards, including those set by the Council for the Regulation of Engineering in Nigeria (COREN) and the Nigerian Standards Organisation (SON).
  3. All work shall be performed at the NIASL facility in Nigeria Abuja, FCT, unless otherwise agreed in writing by both parties.
  4. The Mechatronics Engineer shall maintain professional indemnity insurance with a minimum cover of NGN 50,000,000 for the duration of the engagement.
  5. Intellectual property developed specifically for NIASL under this Purchase Order shall vest in NIASL upon full payment. The Mechatronics Engineer retains rights to pre-existing methodologies and tools.
  6. Either party may terminate this agreement with thirty (30) days' written notice. In the event of termination, the Mechatronics Engineer shall be compensated for work completed up to the termination date.
  7. Disputes arising from this Purchase Order shall be resolved through arbitration in Nigeria Abuja in accordance with the Arbitration and Conciliation Act, Cap A18, Laws of the Federation of Nigeria 2004.
  8. This Purchase Order is governed by the laws of the Federal Republic of Nigeria.
  9. The Mechatronics Engineer warrants that all components and systems installed shall be free from defects for a period of twelve (12) months from the date of commissioning.
  10. Confidentiality: Both parties agree to maintain strict confidentiality regarding proprietary information, trade secrets, and technical data exchanged during the course of this engagement.
