1. Scope of Work: The Mechatronics Engineer engaged under this Purchase Order shall perform all duties in strict accordance with the technical specifications annexed to this document (Annex A). All work shall be executed at the buyer's facility in Peru Lima unless otherwise agreed in writing.
2. Qualifications: The Mechatronics Engineer must hold a minimum of a Bachelor's degree in Mechatronics Engineering (Ingeniería Mecatrónica) from an accredited Peruvian university, a valid professional license (Carné Profesional) issued by the Colegio de Ingenieros del Perú, and a minimum of five (5) years of documented experience in industrial automation and control systems.
3. Commencement Date: Services shall commence on July 1, 2025, and the full scope shall be completed no later than December 15, 2025, subject to milestone approvals by the buyer's project manager in Peru Lima.
4. Payment Schedule: Payment shall be made in three (3) installments: 30% upon execution of this Purchase Order, 40% upon completion of commissioning milestones (Items 1–3), and 30% upon final acceptance and delivery of all documentation. All payments shall be processed via bank transfer to the supplier's account in Peru Lima.
5. Intellectual Property: All designs, programs, schematics, and documentation produced by the Mechatronics Engineer under this Purchase Order shall become the exclusive property of Andina Industrial Automation S.A.C. upon full payment.
6. Confidentiality: The Mechatronics Engineer agrees to maintain strict confidentiality regarding all proprietary processes, trade secrets, and operational data encountered during the engagement in Peru Lima. This obligation shall survive the termination of this Purchase Order for a period of three (3) years.
7. Compliance: All services rendered shall comply with applicable Peruvian labor laws, occupational health and safety regulations (Ley N° 29783), and environmental standards enforced by the Ministry of Environment (MINAM) in the Lima metropolitan area.
8. Warranty: The Mechatronics Engineer provides a warranty of twelve (12) months on all design and integration work. Any defects or non-conformities discovered within this period shall be rectified at no additional cost to the buyer.
9. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the buyer shall pay for all services rendered up to the termination date, as certified by the project manager.
10. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Peru. Any disputes shall be resolved through the competent courts of Peru Lima, or by arbitration before the Centro de Arbitraje y Conciliación de la Cámara de Comercio de Lima (CAC-CCL) if both parties so agree.
