This Purchase Order is issued by Volga Industrial Automation Systems JSC for the engagement of a qualified Mechatronics Engineer to provide specialized technical services at our primary manufacturing and research facility located in Russia Moscow. The Mechatronics Engineer shall be responsible for the design, development, integration, testing, and commissioning of advanced mechatronic systems combining mechanical engineering, electronic control systems, and computer programming within our production lines.

The scope of work assigned to the Mechatronics Engineer includes but is not limited to: the design of robotic assembly units, programming of PLC and SCADA systems, development of sensor integration networks, troubleshooting of automated conveyor systems, and the creation of comprehensive technical documentation for all mechatronic subsystems. All work shall be performed on-site at the buyer's facility in Russia Moscow, specifically at the Leninsky Prospekt industrial complex, with a minimum of five (5) working days per week for the duration of the contract period.

  1. This Purchase Order constitutes a binding agreement between the Buyer and the Supplier upon signature by both authorized representatives. All terms herein shall be governed by the Civil Code of the Russian Federation and applicable commercial regulations in force in Russia Moscow.
  2. The Mechatronics Engineer engaged under this Purchase Order must hold a minimum of a Master's degree in Mechatronics, Robotics, or a closely related engineering discipline, and possess no fewer than seven (7) years of documented professional experience in industrial automation and mechatronic system design.
  3. Payment shall be made in installments of 25% upon completion of each quarterly milestone, via bank transfer to the Supplier's designated account. All payments are denominated in Russian Rubles (RUB) and are subject to applicable Value Added Tax (VAT) at the rate of 20% as per Russian tax law.
  4. The Mechatronics Engineer shall comply with all safety protocols, environmental regulations, and data protection standards enforced at the Buyer's facility in Russia Moscow. Full access to restricted technical areas shall be granted only after completion of mandatory on-site safety induction.
  5. Intellectual property generated during the course of this engagement, including all designs, source code, schematics, and technical reports produced by the Mechatronics Engineer, shall vest exclusively in the Buyer upon full payment of the contract value.
  6. Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of early termination, the Supplier shall be compensated for all verifiable work completed up to the termination date, as certified by the Buyer's project manager.
  7. Any disputes arising from this Purchase Order shall be resolved through arbitration at the Moscow Arbitration Court in Russia Moscow, in accordance with its established rules of procedure.
  8. The Supplier warrants that the Mechatronics Engineer assigned to this project shall not be concurrently engaged in competing projects that could create a conflict of interest with the Buyer's proprietary systems.

The Mechatronics Engineer shall commence on-site work at the Buyer's facility in Russia Moscow no later than 1 July 2025. The total project duration is estimated at eleven (11) months, with a target completion date of 30 May 2026. Any extension of the project timeline must be mutually agreed upon in writing and appended to this Purchase Order as a formal amendment.
