This Purchase Order is issued by Meridian Industrial Systems Pte. Ltd. (hereinafter referred to as the "Buyer") to Apex Technical Talent Solutions Pte. Ltd. (hereinafter referred to as the "Seller") for the procurement and engagement of a qualified Mechatronics Engineer to provide specialized technical services within the operational jurisdiction of Singapore Singapore. The services described herein are subject to the terms, conditions, and specifications outlined in this document and the attached Statement of Work (SOW-2025-114).

The Mechatronics Engineer shall be responsible for the design, development, integration, testing, and commissioning of mechatronic systems encompassing mechanical, electrical, and software engineering disciplines. The scope of work includes but is not limited to: robotic cell programming, PLC and SCADA system configuration, embedded control system development, sensor fusion architecture design, and predictive maintenance algorithm implementation for the Buyer's manufacturing facilities located in the Jurong Industrial Estate, Singapore Singapore.

1. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of Singapore Singapore. Any disputes arising from this Purchase Order shall be resolved through arbitration in Singapore Singapore under the rules of the Singapore International Arbitration Centre (SIAC).
2. Payment Terms: The Buyer shall remit payment within thirty (30) calendar days from the date of receipt of a valid tax invoice from the Seller. All payments shall be made in Singapore Dollars (SGD) via bank transfer to the account designated by the Seller. Late payments shall accrue interest at the rate of 1.5% per month as stipulated under the Singapore Singapore Late Payment of Interest on Debts Act.
3. Commencement and Duration: The engagement of the Mechatronics Engineer shall commence on 1 August 2025 and shall continue for a period of twelve (12) months, subject to mutual renewal by written agreement. The Mechatronics Engineer shall report to the Buyer's site at Jurong Industrial Estate, Singapore Singapore, on a full-time basis (Monday to Friday, 08:00 to 17:30).
4. Qualifications and Compliance: The Mechatronics Engineer engaged under this Purchase Order must hold a minimum of a Bachelor's degree in Mechatronics Engineering, Mechanical Engineering, or Electrical Engineering from a recognized institution, along with a minimum of five (5) years of relevant industry experience. The Mechatronics Engineer must comply with all applicable regulations of the Singapore Singapore Ministry of Manpower (MOM) and hold a valid work pass (Employment Pass or S Pass) as required by Singapore Singapore immigration law.
5. Intellectual Property: All intellectual property, designs, code, documentation, and inventions created by the Mechatronics Engineer in the course of performing services under this Purchase Order shall be the sole property of the Buyer. The Seller warrants that the Mechatronics Engineer shall not disclose any confidential information of the Buyer to any third party, in accordance with the Non-Disclosure Agreement (NDA-2025-089) executed concurrently with this Purchase Order.
6. Health, Safety, and Environment: The Mechatronics Engineer shall adhere to all health, safety, and environmental protocols as mandated by the Singapore Singapore Workplace Safety and Health (WSH) Act. The Seller shall ensure the Mechatronics Engineer has completed all required safety inductions prior to commencing work at the Buyer's facilities in Singapore Singapore.
7. Termination: Either party may terminate this Purchase Order by providing thirty (30) days' written notice. In the event of material breach, the non-breaching party may terminate immediately upon written notice. Termination shall not affect any accrued rights or obligations up to the date of termination.
8. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government actions in Singapore Singapore, pandemics, or war, provided that the affected party notifies the other within five (5) business days.

This Purchase Order constitutes a binding offer for the procurement of Mechatronics Engineer services as described herein. Acceptance of this Purchase Order by the Seller shall be deemed upon written confirmation or upon commencement of services. The Seller acknowledges that the scope of work, deliverables, and performance standards for the Mechatronics Engineer are as set forth in this document and the referenced Statement of Work.
