This Purchase Order is issued by Sasol Industrial Automation (Pty) Ltd to TransHive Engineering Solutions (Pty) Ltd for the engagement of a qualified Mechatronics Engineer to provide specialised technical services at the buyer's manufacturing facility located in South Africa Johannesburg. The Mechatronics Engineer shall be responsible for the design, integration, commissioning, and ongoing maintenance of automated production lines, programmable logic controller (PLC) systems, industrial robotics, and sensor networks within the plant premises in South Africa Johannesburg.
The Mechatronics Engineer must hold a BEng or BEng(Hons) degree in Mechatronics Engineering or a closely related discipline, registered with the Engineering Council of South Africa (ECSA) as a Professional Engineer (PrEng) or Incorporated Engineer (IrEng). A minimum of seven (7) years of post-qualification experience in industrial automation within the South African mining, manufacturing, or energy sectors is required. The Mechatronics Engineer must demonstrate proficiency in Siemens TIA Portal, Allen-Bradley Studio 5000, Mitsubishi GX Works, and relevant SCADA/HMI platforms.

All payments under this Purchase Order shall be made in South African Rand (ZAR) via electronic funds transfer (EFT) to the supplier's designated bank account. Payment shall be due within thirty (30) days from the date of a valid tax invoice, subject to satisfactory completion of the corresponding milestone. The buyer reserves the right to withhold payment of up to ten percent (10%) of each milestone invoice as a retention, to be released upon successful completion of the twelve-month defect liability period. All amounts are exclusive of VAT, which shall be added at the prevailing rate of fifteen percent (15%) as per the South African Revenue Service (SARS) regulations applicable in South Africa Johannesburg.
- This Purchase Order constitutes a binding agreement between the parties upon signature by both the buyer and the supplier. All terms herein are governed by the laws of the Republic of South Africa, and any disputes shall be subject to the jurisdiction of the High Court in South Africa Johannesburg.
- The Mechatronics Engineer engaged under this Purchase Order shall comply with all applicable South African occupational health and safety legislation, including the Occupational Health and Safety Act (Act 85 of 1993), the Mine Health and Safety Act (Act 29 of 1996) where applicable, and all local bylaws of the City of Johannesburg Metropolitan Municipality.
- The supplier warrants that the Mechatronics Engineer assigned to this project shall be a duly registered professional with ECSA and shall maintain valid professional indemnity insurance of no less than ZAR 5,000,000 for the duration of the engagement in South Africa Johannesburg.
- All intellectual property, designs, PLC code, HMI screens, and documentation produced by the Mechatronics Engineer in the course of this Purchase Order shall vest in the buyer upon full payment. The supplier shall execute any necessary assignment documents.
- The supplier shall ensure that the Mechatronics Engineer adheres to the buyer's site-specific safety induction, personal protective equipment (PPE) requirements, and access control protocols at the South Africa Johannesburg facility at all times.
- Any variation to the scope, schedule, or pricing of this Purchase Order must be agreed in writing by both parties prior to implementation. No verbal instructions shall constitute a valid variation.
- The supplier shall provide a twelve (12) month warranty on all design and engineering services rendered by the Mechatronics Engineer from the date of final handover. Defects arising from design error or non-conformance shall be rectified at the supplier's cost within fourteen (14) days of written notice.
- This Purchase Order is subject to the buyer's B-BBEE procurement policy. The supplier shall provide a valid B-BBEE certificate (Level 1 to Level 8) at the time of contract execution.
- Confidentiality: Both parties agree to treat all technical, commercial, and operational information exchanged under this Purchase Order as strictly confidential and shall not disclose such information to third parties without prior written consent.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the buyer shall pay for all services rendered by the Mechatronics Engineer up to the date of termination, less any applicable retention.
