This Purchase Order is issued by Seoul Advanced Manufacturing Solutions Co., Ltd. (hereinafter referred to as the "Buyer") to Global Mechatronics Talent Partners LLC (hereinafter referred to as the "Vendor") for the procurement, placement, and ongoing professional engagement of a qualified Mechatronics Engineer to support the Buyer's advanced automation and robotics division located in South Korea Seoul. The Mechatronics Engineer shall be responsible for the design, integration, testing, and maintenance of electromechanical systems, industrial control units, and automated production lines at the Buyer's primary manufacturing facility in Seoul, South Korea.

The scope of this Purchase Order encompasses the full lifecycle of the Mechatronics Engineer's professional engagement, including recruitment, visa and work-permit facilitation for South Korea Seoul, onboarding, technical supervision, performance evaluation, and offboarding. All services rendered under this Purchase Order shall comply with the labor regulations of the Republic of Korea, the Seoul Metropolitan Government occupational safety standards, and the applicable provisions of the Korean Industrial Safety and Health Act.

4.1 This Purchase Order constitutes a binding agreement between the Buyer and the Vendor upon signature by both authorized representatives. All terms herein govern the procurement and engagement of the Mechatronics Engineer for operations in South Korea Seoul.

4.2 The Vendor warrants that the Mechatronics Engineer shall hold a minimum of a Bachelor's degree in Mechatronics Engineering, Mechanical Engineering, or Electrical Engineering, with a minimum of five (5) years of progressive experience in industrial automation, robotics, and control systems. The Mechatronics Engineer must demonstrate proficiency in Siemens TIA Portal, Allen-Bradley ControlLogix, ROS 2, and SolidWorks.

4.3 The Vendor shall ensure that the Mechatronics Engineer complies with all immigration, tax, and labor laws of the Republic of Korea. The Buyer shall provide a valid Certificate of Employment and support documentation as required by the Seoul immigration office.

4.4 Payment shall be made in monthly installments of KRW 3,368,750 (inclusive of VAT) via wire transfer to the Vendor's designated bank account in Seoul, South Korea, within forty-five (45) calendar days of receipt of a valid invoice.

4.5 Either party may terminate this Purchase Order with sixty (60) days' written notice. Upon termination, the Vendor shall facilitate the orderly transition or offboarding of the Mechatronics Engineer from the South Korea Seoul facility.

4.6 All intellectual property, designs, code, and technical documentation produced by the Mechatronics Engineer during the term of this Purchase Order shall be the sole property of the Buyer.

4.7 Disputes arising under this Purchase Order shall be resolved through arbitration in Seoul, South Korea, in accordance with the rules of the Korean Commercial Arbitration Board (KCAB).

By signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order for the procurement of Mechatronics Engineer professional services in South Korea Seoul.
