The Mechatronics Engineer engaged under this Purchase Order shall possess a minimum of eight (8) years of professional experience in mechatronic system design, with demonstrated expertise in Siemens S7/TIA Portal, Allen-Bradley ControlLogix, ABB and KUKA robotic platforms, and industrial IoT architectures. The engineer must hold a recognized degree in Mechatronics, Electrical Engineering, or a closely related discipline, and must be legally authorized to work in Spain Barcelona and the broader Spanish territory.
All deliverables, including system schematics, firmware configurations, and operational manuals, shall be produced in both Spanish and English to ensure full accessibility for the multidisciplinary team based in Spain Barcelona. The Mechatronics Engineer shall attend weekly coordination meetings at the Barcelona site and provide a written progress report to the project manager every Friday.
5.1 Payment Terms: Payment shall be made within thirty (30) days of receipt of a valid invoice. The initial mobilization fee of 15% of the total Purchase Order value is due upon contract signature. Monthly retainers are invoiced on the first business day of each month. All payments shall be made via bank transfer to the account designated by Iberia Mechatronics Consulting Group S.A.
5.2 Delivery and Commencement: The Mechatronics Engineer shall commence on-site work at the Spain Barcelona facility no later than 1 July 2025. Any delay beyond this date without prior written approval from the buyer shall result in a penalty of 0.5% of the monthly retainer per calendar day of delay.
5.3 Intellectual Property: All designs, code, configurations, and documentation created by the Mechatronics Engineer specifically for this Purchase Order shall become the exclusive property of Barcelona Industrial Solutions S.L. upon full payment.
5.4 Confidentiality: The Mechatronics Engineer and all personnel assigned under this Purchase Order shall maintain strict confidentiality regarding proprietary processes, trade secrets, and operational data of the Spain Barcelona facility. This obligation survives termination of the contract for a period of five (5) years.
5.5 Health, Safety, and Compliance: The Mechatronics Engineer shall comply with all applicable Spanish labor laws, EU Machinery Directive 2006/42/EC, and local occupational health and safety regulations in force in Spain Barcelona. The vendor shall provide proof of adequate professional liability insurance (minimum coverage of EUR 1,000,000) prior to commencement.
5.6 Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination for convenience, the buyer shall pay for all services rendered up to the termination date. In the event of termination for cause, the vendor shall be liable for any direct damages incurred by the buyer.
5.7 Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of Spain. Any disputes arising hereunder shall be submitted to the competent courts of Barcelona, Spain Barcelona metropolitan area.
