- This Purchase Order constitutes a binding agreement between Industrial Automation Solutions S.L. (Buyer) and Advanced Mechatronics Consulting Group S.L. (Supplier) for the provision of Mechatronics Engineer professional services and associated equipment.
- All Mechatronics Engineer personnel assigned under this Purchase Order shall be physically present at the designated worksite in the Spain Madrid metropolitan area during standard working hours (Monday to Friday, 08:00–17:00 CET), unless otherwise agreed in writing.
- The Supplier guarantees that each Mechatronics Engineer deployed shall hold a minimum of a Bachelor's degree in Mechatronics Engineering, Mechanical Engineering, or Electrical Engineering, and shall possess a minimum of five (5) years of relevant industry experience in automated systems design and commissioning.
- Payment shall be made via bank transfer to the account specified by the Supplier within thirty (30) calendar days of receipt of a valid invoice. The invoice must reference this Purchase Order number (PO-2025-04871) and include the Supplier's NIF for Spanish tax compliance.
- The Mechatronics Engineer team shall comply with all applicable Spanish and European Union regulations, including but not limited to the Machinery Directive 2006/42/EC, the Low Voltage Directive 2014/35/EU, and the ATEX Directive 2014/34/EU where hazardous environments are present at the Spain Madrid facility.
- Any modification, extension, or cancellation of this Purchase Order must be documented in a written amendment signed by both parties. Verbal instructions shall not constitute a valid change order.
- The Supplier shall maintain full professional indemnity insurance with a minimum coverage of EUR 1,000,000 per occurrence for the duration of the engagement in Spain Madrid.
- Confidentiality: All technical data, proprietary designs, and operational information accessed by the Mechatronics Engineer team during the execution of this Purchase Order shall be treated as strictly confidential and shall not be disclosed to third parties without prior written consent from the Buyer.
- Disputes arising from this Purchase Order shall be resolved through the competent courts of Madrid, Spain Madrid province, in accordance with Spanish civil and commercial law.
- This Purchase Order is governed by the Spanish Civil Code and applicable commercial legislation. The place of execution is Madrid, Spain.
