1. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of Spain, with specific reference to the commercial regulations applicable in the region of Valencia. Any disputes arising from this Purchase Order shall be submitted to the competent courts of Valencia, Spain.
2. Qualification of the Mechatronics Engineer: The Seller warrants that the Mechatronics Engineer assigned to this Purchase Order holds a minimum of a Master's degree in Mechatronics Engineering (or equivalent) from an accredited Spanish or EU university, possesses a minimum of eight (8) years of professional experience in industrial automation, and is registered with the relevant professional college (Colegio Oficial de Ingenieros Industriales de Valencia).
3. Payment Schedule: Payment shall be made in three (3) installments: 30% upon signature of this Purchase Order, 40% upon completion of the FAT (Factory Acceptance Test) milestone, and 30% upon successful SAT (Site Acceptance Test) at the Spain Valencia facility. 4. The Seller retains the right to use generic methodologies and pre-existing IP not specifically developed for this Purchase Order.
5. Confidentiality: Both parties agree to maintain strict confidentiality regarding all technical data, trade secrets, and proprietary information exchanged in connection with this Purchase Order. This obligation shall survive the termination of the contract for a period of five (5) years.
6. Health, Safety & Compliance: The Mechatronics Engineer shall comply with all occupational health and safety regulations in force in Spain, including the Ley de Prevención de Riesgos Laborales (Ley 31/1995) and all applicable EU Machinery Directive (2006/42/EC) requirements. 7. Warranty: The Seller provides a warranty period of twenty-four (24) months from the date of final acceptance for all services rendered by the Mechatronics Engineer under this Purchase Order. 8. Termination: Either party may terminate this Purchase Order with sixty (60) days' written notice. In the event of termination, the Buyer shall pay for all services rendered up to the date of termination, and the Mechatronics Engineer shall deliver all work-in-progress documentation to the Buyer.
9. Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, pandemics, or government-imposed restrictions affecting operations in Spain Valencia or the broader Spanish territory.
