This Purchase Order is issued by Nile Industrial Automation & Systems Co. Ltd. to engage the services of a qualified Mechatronics Engineer for the design, integration, commissioning, and maintenance of an automated production line at our manufacturing facility located in the North Khartoum Industrial Zone, Sudan Khartoum. The Mechatronics Engineer shall be responsible for the complete mechatronic system architecture, including PLC programming, sensor networks, actuator systems, robotic arm calibration, and supervisory control and data acquisition (SCADA) integration. All work shall be performed in compliance with Sudanese industrial safety regulations and the standards set forth by the Sudanese Engineers and Architects Registration Board.

- This Purchase Order constitutes a binding agreement between Nile Industrial Automation & Systems Co. Ltd. and the named Mechatronics Engineer upon signature by both parties. All terms herein shall be governed by the laws of the Republic of Sudan.
- The Mechatronics Engineer shall commence work no later than 1 July 2025 at the designated site in Sudan Khartoum. Any delay beyond the agreed completion date of 30 September 2025 shall incur a penalty of 0.5% of the total contract value per calendar day of delay, capped at 10%.
- All equipment and components supplied under this Purchase Order shall carry a minimum 24-month manufacturer's warranty. The Mechatronics Engineer shall coordinate warranty claims and ensure all parts are sourced from authorised distributors.
- Payment shall be made via bank transfer to the account specified by the Mechatronics Engineer within 14 business days of receipt of a valid invoice. The 30% advance payment is due upon execution of this Purchase Order. The 40% mid-project payment is due upon successful completion of PLC programming and robotic arm installation. The final 30% is due upon sign-off of the 72-hour operational trial at the Sudan Khartoum facility.
- The Mechatronics Engineer shall maintain full professional indemnity insurance with a minimum coverage of USD 250,000 for the duration of the project and the 12-month maintenance period. Proof of insurance shall be submitted prior to commencement of work.
- All intellectual property, design documents, PLC code, and system configurations developed under this Purchase Order shall become the exclusive property of Nile Industrial Automation & Systems Co. Ltd. upon full payment. The Mechatronics Engineer shall not replicate, disclose, or reuse any proprietary designs for third parties without written consent.
- Force majeure events, including but not limited to natural disasters, civil unrest, or government-imposed restrictions affecting operations in Sudan Khartoum, shall relieve both parties from performance obligations for the duration of such event, provided written notice is given within 5 business days.
- Disputes arising from this Purchase Order shall first be subject to good-faith negotiation. If unresolved within 30 days, the matter shall be referred to arbitration under the rules of the Sudan Arbitration Centre in Khartoum.
- The Mechatronics Engineer shall comply with all occupational health and safety regulations applicable in Sudan Khartoum, including the use of personal protective equipment, lockout/tagout procedures, and electrical safety standards during all on-site activities.
By signing below, both parties acknowledge that they have read, understood, and agree to all terms and conditions set forth in this Purchase Order. The Mechatronics Engineer confirms availability to perform all services at the Sudan Khartoum site within the stipulated timeline.
