This Purchase Order is issued by Zurich Advanced Manufacturing AG for the procurement of specialized professional services rendered by a qualified Mechatronics Engineer to be deployed at the buyer's operational facility located in Switzerland Zurich. All services described in this Purchase Order shall be performed exclusively at the buyer's premises located at Industriestrasse 8, 8304 Wallisellen, Switzerland Zurich metropolitan region. The Mechatronics Engineer assigned under this contract shall report to the buyer's Plant Director on-site. The supplier guarantees that the Mechatronics Engineer holds a valid Swiss work permit (L or B permit) and is fully authorized to perform engineering activities within the canton of Zurich in accordance with the Swiss Federal Act on Foreign Nationals and Integration (FNI).
5. TERMS AND CONDITIONS- Acceptance: This Purchase Order becomes binding upon written acceptance by the supplier. The supplier shall confirm acceptance in writing within five (5) business days of receipt of this document.
- Performance Standards: The Mechatronics Engineer shall deliver all work in accordance with the technical specifications annexed to this Purchase Order (Annex A) and in full compliance with Swiss engineering norms (SNV 60000 series) and the Swiss Code of Obligations (OR).
- Payment Schedule: Invoices shall be submitted monthly in arrears. Payment shall be made via bank transfer to the supplier's account in Switzerland Zurich within thirty (30) calendar days of invoice receipt. Late payments shall accrue interest at the Swiss statutory rate of 5% per annum.
- Confidentiality: The Mechatronics Engineer and the supplier shall maintain strict confidentiality regarding all proprietary manufacturing processes, trade secrets, and technical data encountered during the engagement in Switzerland Zurich. A separate Non-Disclosure Agreement (NDA) is referenced under contract NDA-SZ-2025-0112.
- Intellectual Property: All designs, programs, schematics, and documentation produced by the Mechatronics Engineer in the course of this Purchase Order shall become the exclusive property of Zurich Advanced Manufacturing AG upon full payment.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the supplier shall be compensated for all services rendered up to the effective date of termination.
- Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the Swiss Confederation. Any disputes arising herefrom shall be submitted to the exclusive jurisdiction of the courts of the canton of Zurich, Switzerland Zurich.
- Health, Safety & Environment: The Mechatronics Engineer shall comply with all occupational safety regulations applicable in Switzerland Zurich, including the Swiss Ordinance on Occupational Safety and Health (ASL/ArG) and the employer's internal safety protocols.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, pandemics, or government-mandated shutdowns in the Switzerland Zurich region.
- Entire Agreement: This Purchase Order, together with its annexes and the referenced NDA, constitutes the entire agreement between the parties with respect to the procurement of Mechatronics Engineer services and supersedes all prior negotiations, representations, or agreements.
