The scope of work for this Mechatronics Engineer engagement is governed by the technical specifications outlined in Annexure A attached to this Purchase Order.

1. This Purchase Order shall be governed by and construed in accordance with the laws of the United Arab Emirates, specifically the Federal Commercial Transactions Law and applicable regulations of the United Arab Emirates Dubai Department of Economic Development.
2. The Mechatronics Engineer assigned under this Purchase Order must hold a minimum of a Bachelor's degree in Mechatronics Engineering, Mechanical Engineering, or Electrical Engineering from an accredited institution, and possess a minimum of eight (8) years of progressive experience in industrial automation and mechatronic system design.
3. The Mechatronics Engineer shall be required to present a valid UAE residence visa, Emirates ID, and a professional engineering license issued by the United Arab Emirates Dubai Municipality or the relevant regulatory authority prior to commencing work on-site.
4. Payment terms: Net 45 days from the date of invoice submission. All payments shall be made via bank transfer to the supplier's designated account in the United Arab Emirates Dubai. Invoices must include the supplier's VAT registration number and reference this Purchase Order number (UAE-DXB-2025-ME-04782).
5. The Mechatronics Engineer shall comply with all occupational health and safety standards mandated by the United Arab Emirates Dubai Occupational Safety and Health (OSH) regulations, including mandatory PPE usage on the factory floor.
6. Confidentiality: All proprietary designs, trade secrets, and technical data encountered by the Mechatronics Engineer during the course of this engagement shall remain the exclusive property of the buyer. A Non-Disclosure Agreement (NDA) shall be executed prior to the commencement of services.
7. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the buyer shall be liable for all services rendered up to the effective date of termination.
8. Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through arbitration in United Arab Emirates Dubai in accordance with the rules of the Dubai International Arbitration Centre (DIAC).
9. The supplier warrants that the Mechatronics Engineer shall be fully competent, properly licensed, and free from any conflict of interest that may impair the delivery of services under this Purchase Order.
10. All deliverables produced by the Mechatronics Engineer shall be subject to a quality assurance review by the buyer's internal engineering team before final acceptance and payment release.

The Mechatronics Engineer shall report to the buyer's facility at Al Shindagha Industrial Area, United Arab Emirates Dubai, no later than 01 July 2025. The supplier shall ensure that all visa processing, work permit, and professional registration formalities required by the United Arab Emirates Dubai government are completed prior to this date. Failure to meet the commencement date shall entitle the buyer to a penalty of AED 5,000 per calendar day of delay, deducted from the total value of this Purchase Order.

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the engagement of a Mechatronics Engineer in United Arab Emirates Dubai. This document constitutes a binding commercial agreement upon execution by both authorized signatories.
