The Mechatronics Engineer shall be responsible for the design, integration, commissioning, and ongoing maintenance of automated production lines, robotic assembly systems, and embedded control architectures across our Birmingham operations. The scope of work encompasses the full lifecycle of mechatronic systems, including PLC programming, sensor network configuration, actuator calibration, HMI/SCADA interface development, and predictive maintenance analytics. The Mechatronics Engineer must hold a minimum of a BEng (Hons) in Mechatronics Engineering or an equivalent qualification recognised by the Engineering Council of the United Kingdom, along with a minimum of seven (7) years of demonstrable industry experience in advanced manufacturing environments.

1. This Purchase Order constitutes a binding agreement between Meridian Industrial Solutions Ltd. and Apex Engineering & Automation Partners Ltd. upon countersignature by both parties. All services described herein shall be performed in accordance with the specifications outlined in Appendix A (attached separately) and in compliance with all applicable United Kingdom legislation, including the Health and Safety at Work etc. Act 1974 and the UKCA marking requirements for machinery.
2. The Mechatronics Engineer assigned to this Purchase Order must be based in or willing to relocate to the United Kingdom Birmingham area for the duration of the contract. All on-site work shall take place at the Meridian facility, Unit 47, National Innovation Centre, Colmore Row, Birmingham, B14 8HQ. The Mechatronics Engineer is expected to be present on-site a minimum of five (5) days per week, Monday through Friday, between the hours of 07:00 and 17:00, with reasonable flexibility for shift-based commissioning activities.
3. Payment shall be made via BACS transfer to the supplier's nominated bank account within thirty (30) calendar days of receipt of a valid invoice. Invoices must reference this Purchase Order number (MIS-2025-0472) and include the supplier's VAT registration number. Late payments shall accrue interest at a rate of 4% above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.
4. The Mechatronics Engineer shall comply with all site safety protocols, personal protective equipment (PPE) requirements, and environmental management standards enforced at the Birmingham facility. A valid UK right-to-work status or appropriate visa sponsorship documentation must be provided prior to the commencement date of 01 September 2025.
5. Intellectual property developed specifically for Meridian Industrial Solutions Ltd. under this Purchase Order, including but not limited to control logic, system architectures, and proprietary configurations, shall remain the sole property of Meridian Industrial Solutions Ltd. The Mechatronics Engineer and the supplier warrant that no third-party IP rights shall be infringed in the delivery of services.
6. Either party may terminate this Purchase Order with thirty (30) days' written notice in the event of material breach. In the event of early termination, the supplier shall be compensated for all services rendered and approved expenditures up to the termination date, subject to a final reconciliation meeting to be held in Birmingham, United Kingdom.
7. All disputes arising from this Purchase Order shall be governed by the laws of England and Wales and shall be subject to the exclusive jurisdiction of the courts of Birmingham, United Kingdom. The parties agree to attempt mediation through the Chartered Institution of Mechanical Engineers (IMechE) dispute resolution process before initiating formal legal proceedings.
8. This Purchase Order supersedes all prior quotations, letters of intent, and verbal agreements between the parties regarding the Mechatronics Engineer engagement in Birmingham. No amendment to this Purchase Order shall be valid unless executed in writing and signed by authorised representatives of both parties.
