The Mechatronics Engineer shall commence work no later than July 1, 2025, at the buyer's facility located at 4520 Wilshire Boulevard, Los Angeles, California. The complete scope of work under this Purchase Order shall be delivered and fully commissioned no later than September 30, 2025. All on-site work shall be conducted within the United States Los Angeles city limits unless otherwise authorized in writing by the buyer. Milestone payments shall be released upon written acceptance of each deliverable as defined in the attached Statement of Work (SOW-2025-04782-A).
Payment TermsPayment for this Purchase Order shall be made via wire transfer to the supplier's designated bank account. Invoicing shall be issued monthly in arrears. Net payment terms are thirty (30) days from the date of invoice receipt. Late payments shall accrue interest at a rate of 1.5% per month or the maximum rate permitted under California law, whichever is lower. The buyer reserves the right to withhold payment for any deliverable that does not meet the acceptance criteria specified in this Purchase Order until corrective action is completed by the Mechatronics Engineer.
Terms and Conditions1. This Purchase Order is governed by the laws of the State of California and the federal laws of the United States. Any disputes arising from this Purchase Order shall be resolved through binding arbitration in Los Angeles, California, in accordance with the rules of the American Arbitration Association.
2. The Mechatronics Engineer engaged under this Purchase Order shall maintain all professional engineering licenses, certifications, and insurance coverage (general liability, professional liability, and workers' compensation) in full force throughout the duration of the engagement in the United States Los Angeles area.
3. All intellectual property, designs, code, and documentation produced by the Mechatronics Engineer specifically for this Purchase Order shall become the sole property of the buyer upon full payment.
4. The supplier shall comply with all applicable environmental, health, and safety regulations in the United States Los Angeles jurisdiction, including but not limited to Cal/OSHA standards and Los Angeles County air quality regulations.
5. This Purchase Order may be amended only by mutual written agreement of both parties. No oral modifications shall be binding.
6. The supplier warrants that all services rendered by the Mechatronics Engineer shall be performed in a professional and workmanlike manner, free from defects in design and execution, for a period of twelve (12) months from the date of final acceptance.
