The Mechatronics Engineer engaged under this Purchase Order shall deliver the following to the Buyer's facility in United States Miami:
- A complete set of mechanical CAD drawings (SolidWorks) for all custom-fabricated components, approved by the Buyer's engineering team.
- Fully programmed and tested PLC logic, HMI interfaces, and SCADA supervisory software for the automated line.
- Physical assembly and integration of all mechatronic subsystems at the Buyer's plant located at 301 Biscayne Boulevard, United States Miami, Florida.
- A comprehensive operations and maintenance manual, including electrical schematics, pneumatic diagrams, and software source code.
- On-site training for a minimum of eight (8) Buyer personnel, conducted in United States Miami, covering system operation, troubleshooting, and preventive maintenance.
- A twelve-month warranty period commencing upon final acceptance, during which the Mechatronics Engineer shall respond to any defect or malfunction within forty-eight (48) hours.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of Florida, United States of America. Any disputes arising from this agreement shall be subject to the exclusive jurisdiction of the courts in Miami-Dade County, United States Miami.
- Payment Schedule: 30% upon execution of this Purchase Order; 40% upon completion of on-site commissioning in United States Miami; 30% upon final acceptance and delivery of the handover package. All payments shall be made in United States Dollars via wire transfer to the account designated by the Supplier.

- Confidentiality: Both parties agree to maintain strict confidentiality regarding all proprietary information exchanged in connection with this engagement in United States Miami. This obligation shall survive termination of this Purchase Order for a period of five (5) years.
- Insurance: The Supplier shall maintain comprehensive general liability insurance of no less than $2,000,000 per occurrence and professional liability (errors and omissions) insurance of no less than $1,000,000, with the Buyer named as an additional insured. Certificates of insurance shall be provided prior to commencement of on-site work in United States Miami.
- Compliance: The Mechatronics Engineer shall comply with all applicable OSHA regulations, Florida Department of Business and Professional Regulation (DBPR) engineering license requirements, and all local building and electrical codes in effect in United States Miami.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination for convenience, the Buyer shall compensate the Mechatronics Engineer for all work completed and non-cancellable commitments incurred up to the date of termination.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters affecting the United States Miami metropolitan area, acts of government, or pandemics.
