- Acceptance: This Purchase Order becomes a binding agreement upon written acceptance by the Supplier. The Supplier shall confirm acceptance of this Purchase Order within five (5) business days of receipt. Failure to respond within this period shall be construed as rejection of the Purchase Order.
- Scope of Work: The Mechatronics Engineer assigned to this engagement must hold a minimum of eight (8) years of progressive experience in mechatronic system design, with demonstrated proficiency in Siemens S7, Allen-Bradley ControlLogix, ROS 2, and embedded C/C++ development. The Mechatronics Engineer must be legally authorized to work in the United States and shall report to the buyer's facility in United States San Francisco, CA 94102, Monday through Friday, 8:00 AM to 5:00 PM Pacific Time.
- Performance Standards: All deliverables produced by the Mechatronics Engineer shall conform to ISO 13849-1 (Safety of Machinery), IEC 61131-3 (PLC Programming), and applicable California Occupational Safety and Health (Cal/OSHA) regulations. The buyer reserves the right to reject any deliverable that does not meet the specified technical requirements outlined in the attached Statement of Work (SOW-2025-0047-A).
- Payment Schedule: Invoicing shall be submitted monthly in arrears. Payment is due within thirty (30) calendar days of invoice receipt. Late payments shall accrue interest at a rate of 1.5% per month. All payments shall be made via ACH transfer to the account designated by the Supplier.
- Intellectual Property: All work product, designs, code, documentation, and proprietary knowledge created by the Mechatronics Engineer in the course of fulfilling this Purchase Order shall be the sole and exclusive property of Golden Gate Advanced Systems, Inc. The Supplier warrants that no third-party intellectual property rights shall be infringed by the deliverables.
- Confidentiality: The Mechatronics Engineer and all personnel associated with the Supplier shall be bound by a mutual Non-Disclosure Agreement (NDA-2025-0047) executed concurrently with this Purchase Order. All technical data, trade secrets, and operational information pertaining to the buyer's United States San Francisco facility shall be treated as strictly confidential.
- Insurance and Liability: The Supplier shall maintain professional liability insurance with a minimum coverage of $2,000,000 per occurrence and $5,000,000 in aggregate. The Supplier shall also carry workers' compensation insurance as required by the State of California. The Supplier shall indemnify and hold harmless the buyer against any claims arising from the Mechatronics Engineer's negligence or willful misconduct.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination for convenience, the buyer shall compensate the Supplier for all work completed and documented up to the effective date of termination. In the event of termination for cause, the buyer shall be entitled to a full refund of any prepayments for work not yet delivered.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of California, United States. Any disputes arising hereunder shall be resolved through binding arbitration in United States San Francisco, CA, in accordance with the rules of the American Arbitration Association.

The Mechatronics Engineer shall commence on-site work at the buyer's United States San Francisco facility no later than July 1, 2025. The full engagement, including all phases of design, development, commissioning, and post-deployment support, shall be completed no later than October 31, 2025. Milestone dates are detailed in the attached project schedule (Appendix B).
6. Authorization and SignaturesBy signing below, the authorized representatives of both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the engagement of the Mechatronics Engineer in United States San Francisco.
