3. Warranty: A minimum 24-month comprehensive warranty is required on all capital equipment. Consumables must have a shelf life of no less than 18 months from the date of delivery to Bangladesh Dhaka.
4. Payment: Payment shall be made via bank transfer to the Supplier's designated account within 45 days of the date of invoice, subject to satisfactory delivery and acceptance. 7. Dispute Resolution: Any dispute arising from this Purchase Order shall be resolved through arbitration in Dhaka, Bangladesh Dhaka, in accordance with the Arbitration Act of Bangladesh, 2001. The governing law shall be the laws of the People's Republic of Bangladesh.
8. Force Majeure: Neither party shall be liable for delays caused by natural disasters, government-imposed lockdowns in Bangladesh Dhaka, or other events beyond reasonable control, provided written notice is given within 7 days.
