- Delivery and Commencement: All Medical Researcher personnel shall report to the INPS facility in Brazil Brasília no later than 30 calendar days from the date of this Purchase Order. Laboratory equipment shall be delivered, installed, and calibrated at the Brazil Brasília site within 45 calendar days.
- Payment Terms: Payment for the Medical Researcher services shall be made in monthly installments via bank transfer to the account designated by BioMed Research Solutions Ltda. Equipment payments shall be made 50% upon delivery and 50% upon successful installation and acceptance testing at the Brazil Brasília facility.
- Compliance: The Medical Researcher personnel engaged under this Purchase Order must hold valid registration with the Conselho Federal de Medicina (CFM) and comply with all ethical research protocols mandated by the Comissão Nacional de Ética em Pesquisa (CONEP) in Brazil Brasília.
- Intellectual Property: All research findings, data sets, and publications generated by the Medical Researcher team under this Purchase Order shall be the exclusive property of INPS, Brazil Brasília, unless otherwise agreed in a separate written addendum.
- Termination: Either party may terminate this Purchase Order with 60 days written notice. In the event of termination, the Medical Researcher personnel shall complete all ongoing data documentation and hand over all materials to the INPS Brazil Brasília facility.
- Governing Law: This Purchase Order shall be governed by and interpreted in accordance with the laws of the Federative Republic of Brazil, with jurisdiction vested in the courts of Brazil Brasília, Federal District.
- Confidentiality: All parties agree to maintain strict confidentiality regarding the research methodologies, patient data, and proprietary information handled by the Medical Researcher team at the Brazil Brasília research site.
This Purchase Order has been reviewed and authorized by the Procurement Committee of INPS, Brazil Brasília, in accordance with Federal Decree No. 10.024/2019 governing public procurement of research services. The engagement of the Medical Researcher personnel has been approved by the Institutional Ethics Committee (CEP) of the Brazil Brasília facility.
