All equipment and materials shall be delivered to the IPMRJ facility located at Av. Pasteur, 256 – Gávea, Rio de Janeiro, RJ, Brazil. The supplier is responsible for arranging secure, climate-controlled freight from São Paulo to Rio de Janeiro, ensuring that all biological reagents and temperature-sensitive components arrive within the required thermal range. Delivery is expected no later than 30 August 2025. Installation and calibration of the NGS Analyzer and PCR cyclers must be completed within 10 business days of delivery, with on-site training provided to the Medical Researcher and her team of eleven (11) laboratory technicians. The supplier must coordinate with the IPMRJ facilities management office in Rio de Janeiro to schedule access to the laboratory wing.
- Payment Method: Bank transfer (TED/PIX) to the supplier's account in BRL (Brazilian Real).
- 30% Advance Payment: Due upon signing of this Purchase Order (BRL 1,153,736.40).
- 50% on Delivery: Due upon confirmed receipt and inspection of all items at the Rio de Janeiro facility (BRL 1,922,894.00).
- 20% on Commissioning: Due after successful installation, calibration, and completion of the Medical Researcher's acceptance testing (BRL 769,157.60).
- Payment Window: Net 30 days from invoice date for each milestone.
- Late Payment Penalty: 1% per month of delay, in accordance with Brazilian commercial law (Código Civil, Art. 412).
- All products must carry valid ANVISA registration and CE/IVD certification where applicable. The Medical Researcher reserves the right to reject any item that does not meet these regulatory requirements.
- The supplier warrants all equipment for a minimum of 24 months from the date of installation in Rio de Janeiro. Warranty service must be provided within 48 hours of a service request.
- Intellectual property generated during the research program remains the sole property of IPMRJ. The supplier shall not claim any rights over data, samples, or findings produced by the Medical Researcher.
- This Purchase Order is governed by the laws of the Federative Republic of Brazil. Any disputes shall be resolved by the competent courts of the city of Rio de Janeiro, RJ.
- The supplier must comply with all environmental and occupational health regulations of the state of Rio de Janeiro, including proper disposal of packaging materials and hazardous waste.
- Force majeure events, including but not limited to natural disasters affecting the Rio de Janeiro metropolitan area, shall be addressed through mutual written agreement between the parties.
- This Purchase Order becomes effective upon signature by both parties and remains valid until full completion of all obligations herein.
