- This Purchase Order constitutes a binding agreement between the Institut de Recherche Médicale de Montréal and the named Medical Researcher for the provision of research services within the Canada Montreal jurisdiction, effective upon signature by both parties.
- Payment terms: Net 45 days from receipt of a valid invoice. Invoices must reference this Purchase Order number (PO-2025-MR-04872) and include the vendor's Business Number and QST registration for tax compliance in the Province of Québec, Canada.
- The Medical Researcher shall comply with all applicable federal and provincial regulations of Canada Montreal, including but not limited to the Québec Charter of the French Language (Bill 96) for all official documentation, the Personal Information Protection Act (PIPA), and the Canadian Food and Drugs Act where applicable to clinical materials.
- All intellectual property generated by the Medical Researcher under this Purchase Order shall be jointly owned by IRMM and the researcher, with publication rights subject to mutual agreement and a minimum 90-day institutional review period.
- The Medical Researcher is required to maintain professional liability insurance with a minimum coverage of CAD $5,000,000, valid throughout the term of this engagement in Canada Montreal.
- Any modifications to the scope, timeline, or budget of this Purchase Order must be documented in a written amendment signed by both the requisitioning department head and the Medical Researcher.
- Disputes arising from this Purchase Order shall be resolved through mediation in the city of Montréal, Québec, Canada, in accordance with the Civil Code of Québec. If mediation fails, matters shall be referred to the Superior Court of Québec, Montréal judicial district.
