The Seller is responsible for freight, insurance, and customs clearance (if applicable for imported components) up to the receiving dock of the research facility. Installation, calibration, and operator training for all capital equipment (Items 01, 02, 03, 04, 07, 09) shall be completed within 30 calendar days of delivery. The designated Medical Researcher principal investigator, Dr. Wei Zhang, or his authorized deputy, shall sign the installation acceptance certificate. Delivery is scheduled no later than 20 August 2025. All packaging must meet the International Air Transport Association (IATA) and China Civil Aviation Administration (CAAC) standards for hazardous biological materials where applicable.

Payment for this Purchase Order shall be made in Renminbi (CNY) via bank transfer to the Seller's designated account. The payment schedule is as follows: (a) 30% advance payment (CNY 1,415,325.00) within 10 business days of mutual signature of this document; (b) 50% (CNY 2,358,875.00) upon confirmed delivery and installation at the China Beijing facility; (c) 20% (CNY 943,550.00) upon successful completion of a 90-day performance warranty period. Late payments shall accrue interest at 0.05% per calendar day. All invoices must reference the Purchase Order number PO-CB-2025-07842.

The Seller warrants that all goods supplied under this Purchase Order are new, unused, and conform to the specifications outlined in the attached technical annex (Annex A). All reagents and biological materials must carry valid NMPA registration or import permits. The Medical Researcher team at the Beijing campus reserves the right to reject any item that fails to meet the stated specifications, is damaged in transit, or lacks required regulatory documentation for use in China Beijing. A 24-month warranty from the date of installation acceptance applies to all capital equipment. Consumables and reagents carry a minimum shelf life of 18 months at the time of delivery.

Any research data, protocols, or proprietary methodologies developed by the Medical Researcher personnel using the equipment and materials procured under this Purchase Order remain the exclusive intellectual property of the Beijing Institute of Advanced Medical Sciences. The Seller shall not access, replicate, or disclose any research data generated at the China Beijing facility. Both parties agree to maintain strict confidentiality in accordance with the Cybersecurity Law of the People's Republic of China and the Data Security Law effective 1 September 2021.

This Purchase Order shall be governed by and construed in accordance with the laws of the People's Republic of China. Any disputes arising from or in connection with this document shall first be resolved through good-faith negotiation between the parties. If unresolved within 30 days, the matter shall be submitted to the Beijing Arbitration Commission (BAC) for binding arbitration in China Beijing. The language of arbitration shall be English, with the Chinese translation prevailing in the event of any discrepancy.

This Purchase Order constitutes the entire agreement between the Buyer and Seller regarding the procurement described herein and supersedes all prior negotiations, representations, or agreements. No amendment or modification shall be valid unless made in writing and signed by authorized representatives of both parties. Force majeure events, including but not limited to natural disasters, government-mandated lockdowns in China Beijing, or international trade restrictions, shall excuse timely performance for the duration of the event. This document is executed in two (2) original counterparts, one for each party.
