All items specified in this Purchase Order shall be delivered to the Guangzhou Institute of Medical Sciences laboratory facility at Building 7, Tianhe Science Park, Guangzhou, China, no later than 30 July 2025. The supplier is responsible for transportation, insurance, and installation of all capital equipment (Items 01 through 05, 09, and 10). Installation must be completed and verified by the designated Medical Researcher or their authorized laboratory manager prior to final acceptance. Consumable items (Items 06 through 08) shall be delivered in full quantity to the designated storage area within the same timeframe. Delivery to the China Guangzhou site shall comply with all local logistics regulations and the facility's biosafety access protocols.
- A 30% advance payment (CNY 653,592.00) shall be remitted within 10 business days of the acceptance of this Purchase Order by both parties.
- A 60% progress payment (CNY 1,307,184.00) shall be due upon confirmed delivery and successful installation of all capital equipment at the Guangzhou facility.
- The remaining 10% balance (CNY 217,868.00) shall be paid within 30 days after the Medical Researcher issues a formal Certificate of Acceptance confirming that all equipment operates in accordance with the manufacturer's specifications and the research protocol requirements.
- All payments shall be made via bank transfer to the supplier's designated account: Bank of China, Huangpu Branch, Guangzhou; Account No. 7533 0123 4567 8901; SWIFT: BKCHCNBJ.
- Late payments shall incur a penalty of 0.05% per calendar day on the outstanding balance, in accordance with the Civil Code of the People's Republic of China.
All equipment and consumables procured under this Purchase Order must meet or exceed the standards set by the State Administration for Market Regulation (SAMR) of China and the relevant ISO 13485 medical device quality management requirements where applicable. The supplier warrants that all items are new, unused, and free from defects. The Medical Researcher leading the project reserves the right to reject any item that does not conform to the specifications outlined in the attached Technical Annex (Annex A). All biological reagents and kits must carry valid Chinese NMPA (National Medical Products Administration) registration or import permits. The supplier shall provide complete documentation, including certificates of analysis, material safety data sheets (MSDS), and calibration certificates, at the time of delivery to the China Guangzhou laboratory.
The supplier shall provide a minimum warranty period of twenty-four (24) months from the date of final acceptance for all capital equipment. During the warranty period, the supplier shall respond to any malfunction or defect within forty-eight (48) hours and provide on-site repair or replacement at no additional cost to the purchaser. The Medical Researcher and laboratory staff shall be provided with comprehensive training on the operation, maintenance, and safety procedures of all installed equipment. Training sessions shall be conducted at the Guangzhou facility and documented in writing. Consumable items carry a warranty of twelve (12) months against manufacturing defects.
- This Purchase Order is governed by the laws of the People's Republic of China. Any disputes arising from this Purchase Order shall be resolved through negotiation, and if unresolved, shall be submitted to the Guangzhou International Arbitration Commission (CIETAC Guangzhou) for arbitration in Guangzhou, China.
- The supplier shall not subcontract any portion of the delivery or installation without prior written consent from the purchasing party.
- Confidentiality: The supplier acknowledges that the research conducted by the Medical Researcher is proprietary and confidential. No information regarding the research protocols, sample data, or project objectives shall be disclosed to any third party.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government-mandated closures, or public health emergencies affecting the China Guangzhou region.
- This Purchase Order becomes effective upon signature by both authorized representatives and remains valid until all obligations are fulfilled.
- Any amendments to this Purchase Order must be made in writing and signed by both parties.
