1. All items listed in this Purchase Order shall be delivered to the IIMB laboratory facilities at Carrera 11 No. 93B-45, Zona Rosa, Colombia Bogotá, within thirty (30) calendar days from the date of this Purchase Order. The supplier is responsible for all transportation, insurance, and customs clearance (if applicable for imported components) within the territory of Colombia Bogotá. Installation of the PCR Thermal Cycler, Flow Cytometer, and Ultra-Low Temperature Freezers shall be completed within five (5) business days of physical delivery. The supplier shall provide on-site training for the Medical Researcher and a team of four (4) laboratory technicians at no additional cost. All equipment must meet the technical specifications outlined in Annex A attached to this Purchase Order and comply with INVIMA (Instituto Nacional de Vigilancia de Medicamentos y Alimentos) registration requirements for use in Colombia Bogotá.
5. Payment TermsPayment for this Purchase Order shall be made in three (3) installments via bank transfer to the supplier's designated account in a Colombian financial institution:
- 40% Advance Payment (COP 208,752,200) – due within ten (10) business days of the signed Purchase Order acknowledgment, to be released upon confirmation of manufacturing or stock availability.
- 40% Upon Delivery (COP 208,752,200) – due within fifteen (15) business days of successful delivery and physical inspection at the Colombia Bogotá site, subject to a joint acceptance report signed by the Medical Researcher and the supplier's technical representative.
- 20% Final Payment (COP 104,376,100) – due within thirty (30) days after completion of installation, calibration, and the training session for the Medical Researcher team.
The supplier guarantees a minimum two (2) year warranty on all capital equipment (Items 01, 02, 03, and 06) from the date of installation acceptance in Colombia Bogotá. Consumable items (Items 04, 05, and 07) carry a six (6) month shelf-life guarantee from the date of delivery. The software license (Item 08) includes all updates and technical support for the full five-year subscription period. The supplier shall maintain a dedicated after-sales service desk reachable by phone and email during standard business hours in Colombia Bogotá (Monday to Friday, 8:00 a.m. to 5:00 p.m., Colombia Time, UTC-5). Response time for critical equipment failures affecting the Medical Researcher's active study shall not exceed twenty-four (24) hours.
7. General Conditions and Governing Law- This Purchase Order constitutes a binding agreement between the IIMB and BioEquip Colombia S.A.S. upon countersignature by both parties.
- All disputes arising from this Purchase Order shall be resolved under the commercial laws of the Republic of Colombia, with exclusive jurisdiction of the commercial courts of Colombia Bogotá.
- The Medical Researcher designated as the technical recipient retains the authority to reject any item that does not conform to the specifications stated herein, without penalty to the IIMB.
- Neither party may assign its obligations under this Purchase Order to a third party without prior written consent of the other party.
- Confidentiality: All data, protocols, and research methodologies shared in connection with this Purchase Order shall be treated as proprietary information of the IIMB and the Medical Researcher, and shall not be disclosed to any third party without express written authorization.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government mandates, or public health emergencies affecting operations in Colombia Bogotá.
