All items referenced in this Purchase Order shall be delivered to the IIMA research laboratory at Calle 43A No. 52-130, El Poblado, Colombia Medellín, within thirty (30) calendar days from the date of this Purchase Order. The supplier is responsible for all transportation, insurance, and customs clearance (where applicable for imported components) until the goods are received and signed off by the designated Medical Researcher or her authorized delegate at the Medellín facility. Installation, calibration, and initial operational training for the flow cytometry analyzer, PCR thermal cyclers, and ELISA reader shall be performed by certified technicians from the supplier at no additional cost. The Medical Researcher, Dr. Restrepo Gómez, or her laboratory manager shall conduct a formal acceptance inspection within five (5) business days of installation. Any defects or non-conformities must be reported in writing to the supplier within that period.
- 6.1 Payment: Payment shall be made via bank transfer to the supplier's designated account in Colombian Pesos (COP) within forty-five (45) days from the date of the supplier's invoice, provided that all goods have been received, installed, and accepted without deficiency. The buyer shall not be liable for any late payment interest exceeding the rate established by the Banco de la República de Colombia.
- 6.2 Warranties: All equipment shall carry a minimum manufacturer's warranty of twenty-four (24) months from the date of acceptance. Consumables and reagents shall be delivered with a minimum remaining shelf life of eighteen (18) months. The supplier guarantees that all biological reagents and antibody kits comply with the regulatory standards set forth by INVIMA (Instituto Nacional de Vigilancia de Medicamentos y Alimentos) and the applicable norms of the Colombian Ministry of Health and Social Welfare.
- 6.3 Intellectual Property and Research Confidentiality: The supplier acknowledges that the equipment and materials procured under this Purchase Order will be used exclusively in a confidential medical research program. No data, samples, or research outputs generated by the Medical Researcher's team shall be disclosed to any third party without the prior written consent of IIMA.
- 6.4 Cancellation and Modification: This Purchase Order may be modified or cancelled in whole or in part only by mutual written agreement of both parties. In the event of cancellation after production has commenced, the buyer shall be liable for documented costs incurred by the supplier up to the date of cancellation.
- 6.5 Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the commercial laws of the Republic of Colombia. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the commercial courts of Medellín, Antioquia, Colombia.
- 6.6 Force Majeure: Neither party shall be held liable for failure to perform its obligations under this Purchase Order if such failure is caused by events beyond its reasonable control, including but not limited to natural disasters, government sanctions, pandemics, or supply chain disruptions affecting the Medellín metropolitan area or international logistics corridors.
- 6.7 Regulatory Compliance: The supplier warrants that all items comply with the technical regulations (RETIE) and sanitary norms applicable in Colombia. The Medical Researcher's laboratory operates under a valid INVIMA license, and all procured materials must meet the quality standards required for clinical-grade research in the Colombian regulatory framework.
