All prices are inclusive of 20% French VAT (TVA). Delivery is DDP to the IRM-Marseille facility in France Marseille. The Medical Researcher named in Section 3 shall be the primary operator and custodian of all equipment delivered under this Purchase Order.
This Purchase Order is governed by the laws of the French Republic and shall be interpreted in accordance with the French Commercial Code. In the event of any dispute, the competent courts of France Marseille shall have exclusive jurisdiction. The supplier acknowledges that all goods and services procured under this Purchase Order are intended for the exclusive use of the designated Medical Researcher at the Institut de Recherche Médicale de Marseille and are subject to the ethical and regulatory oversight of the French National Agency for Medicines and Health Products Safety (ANSM) and the local ethics committee of France Marseille.
The Medical Researcher is responsible for ensuring that all equipment and reagents received under this Purchase Order are used in strict compliance with French biomedical research regulations (Code de la santé publique, Articles L.1121-1 et seq.) and the institution's internal biosafety protocols. Any deviation must be reported to the Director of Research within 24 hours.
Delivery of all items shall be made to the receiving dock at 27 Boulevard Charles Livon, 13005 Marseille, France. The Medical Researcher or his designated laboratory technician shall sign the delivery receipt upon inspection. A 5-business-day acceptance period applies before the goods are deemed accepted under this Purchase Order.
This Purchase Order is authorised and approved by the undersigned. By signing, each party confirms that the terms set forth herein are binding and that the Medical Researcher identified in Section 3 is the authorised end-user of all items procured under this document in France Marseille.
