All items listed in this Purchase Order shall be delivered to the IRMP facility at 42 Rue de la Recherche Médicale, 75006 France Paris, no later than 30 July 2025. The vendor is responsible for all freight, insurance, and customs clearance (where applicable for EU-internal transfers) to ensure the Medical Researcher experiences no disruption to her ongoing clinical trial timelines. Installation and calibration must be completed within five (5) business days of delivery. The vendor shall coordinate directly with the IRMP Facilities Management team in France Paris to schedule access to the laboratory suites.
5.1 This Purchase Order is governed by the laws of the French Republic and, where applicable, the regulations of the European Union. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the Commercial Court of Paris, France Paris.
5.2 The vendor warrants that all equipment supplied is new, unused, and fully compliant with the Medical Devices Regulation (EU) 2017/745 and French ANSM (Agence Nationale de Sécurité du Médicament et des Produits de Santé) requirements. The Medical Researcher shall not be held liable for any non-conformity discovered during the 24-month warranty period.
5.3 Payment shall be made by bank transfer to the vendor's designated account within forty-five (45) calendar days of receipt of a valid invoice and confirmation of satisfactory delivery and installation. Late payments shall accrue interest at the rate prescribed by French commercial law (Code de commerce, Article L441-10).
5.4 The vendor shall maintain full insurance coverage for all goods in transit to the France Paris delivery address. Risk of loss transfers to the buyer only upon written acceptance by the IRMP receiving officer.
5.5 The Medical Researcher, Dr. Catherine Moreau, is designated as the technical acceptance authority. No goods shall be deemed accepted until she has signed the Delivery Acceptance Certificate in the presence of the IRMP Procurement Office.
5.6 This Purchase Order constitutes the entire agreement between the parties with respect to the subject matter herein and supersedes all prior negotiations, representations, or agreements, whether written or oral.
5.7 The vendor shall comply with all applicable French data protection laws (RGPD / GDPR) when handling any biological or patient-derived data associated with the Medical Researcher's ongoing studies.
This Purchase Order is authorized and approved for execution by the undersigned representatives of both parties. By signing below, each party acknowledges that the terms set forth in this document are binding and that the procurement of the specified goods and services is necessary to support the Medical Researcher's program at the IRMP facility in France Paris.
