Terms and Conditions
- This Purchase Order is governed by the laws of the Federal Republic of Germany. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in Germany Berlin.
- The Medical Researcher shall perform all duties in accordance with the German Research Data Management Guidelines and the institutional ethics committee protocols established in Germany Berlin.
- All equipment and materials procured under this Purchase Order shall be delivered to the Charité Medical Research Institute, Invalidenstraße 42, 10115 Germany Berlin, unless otherwise specified in writing.
- The Medical Researcher shall submit monthly progress reports to the Department of Molecular Oncology. Failure to deliver reports within ten (10) business days of the reporting period may result in a 2% penalty on the monthly service fee.
- Payment shall be made via bank transfer to the account specified by the supplier within thirty (30) days of receipt of a valid invoice. Late payments shall accrue interest at the statutory rate under German commercial law (HGB § 288).
- All intellectual property generated by the Medical Researcher during the term of this Purchase Order while working at the Germany Berlin facility shall be jointly owned by the institute and the researcher, as stipulated in the separate Intellectual Property Agreement (Ref: IPA-2025-04871).
- The supplier warrants that all equipment delivered under this Purchase Order shall be new, unused, and free from defects for a minimum period of twenty-four (24) months from the date of delivery in Germany Berlin.
- This Purchase Order may be terminated by either party with a written notice of sixty (60) days. In the event of termination, the Medical Researcher shall return all institute property and complete all outstanding deliverables.
- Confidentiality obligations under the German Federal Data Protection Act (BDSG) and the EU General Data Protection Regulation (GDPR) shall apply to all data handled by the Medical Researcher in the course of this engagement in Germany Berlin.
