This Purchase Order is issued by the Helmholtz Advanced Biomedical Institute to engage the services of a qualified Medical Researcher and to procure associated laboratory equipment and consumables for an ongoing oncology research programme conducted at our facility in Germany Munich. 5.1 This Purchase Order is governed by the laws of the Federal Republic of Germany. Any disputes arising from this Purchase Order shall be resolved under the jurisdiction of the competent courts in Munich, Germany.
5.2 The Medical Researcher shall comply with all applicable German and European Union regulations, including the German Medical Device Regulation (MDR), the EU Clinical Trials Regulation (CTR), and data protection requirements under the GDPR as implemented in Germany.
5.3 All research data, intellectual property, and publications generated by the Medical Researcher during the term of this Purchase Order shall be the sole property of the Helmholtz Advanced Biomedical Institute, Germany Munich, unless otherwise stipulated in a separate intellectual property agreement.
5.4 The Medical Researcher is required to maintain a valid professional liability insurance policy with a minimum coverage of €5,000,000 throughout the duration of this Purchase Order.
5.5 Payment shall be made within thirty (30) calendar days of receipt of a valid invoice. Invoices must reference this Purchase Order number (PO-2025-MR-04872) and be submitted to the finance department at the Germany Munich campus.
5.6 The Medical Researcher shall provide monthly progress reports to the Head of Research Operations. Failure to deliver agreed milestones for two consecutive months may result in termination of this Purchase Order with thirty (30) days' written notice.
5.7 All laboratory work performed under this Purchase Order must be conducted at the designated facility in Germany Munich. Off-site work requires prior written approval from the issuing organization.
5.8 This Purchase Order may be amended only by mutual written agreement signed by both parties. Verbal modifications are not binding.
This Purchase Order is issued and authorized by the undersigned on behalf of the Helmholtz Advanced Biomedical Institute, Germany Munich. The Medical Researcher acknowledges receipt and acceptance of all terms, conditions, and deliverables outlined in this Purchase Order by signing below.
