1. Place of Performance: All services under this Purchase Order shall be rendered at the Bangalore, Karnataka premises of BIAMS unless otherwise specified in writing. The Medical Researcher is expected to be physically present at the Indiranagar research campus a minimum of five (5) working days per week.
2. Payment Terms: Payment shall be made via NEFT/RTGS to the vendor's designated bank account in Bangalore within thirty (30) days of receipt of a valid GST-compliant tax invoice. Milestone-based disbursement shall follow the schedule: 20% upon protocol approval, 50% upon completion of Phase II data collection, and 30% upon final manuscript acceptance.
3. Intellectual Property: All research data, findings, publications, and intellectual property generated by the Medical Researcher during the term of this Purchase Order shall vest exclusively with Bangalore Institute of Advanced Medical Sciences. The Medical Researcher shall sign a separate IP Assignment Deed prior to commencing work.
4. Compliance with Indian Law: The Medical Researcher shall comply with all applicable Indian regulations, including the ICMR National Ethical Guidelines for Medical Research Involving Human Subjects (2017), the Clinical Trials (Amendment) Rules, 2019, and the Karnataka Shops and Commercial Establishments Act, 1961.
5. Confidentiality: The Medical Researcher shall maintain strict confidentiality of all proprietary data, patient records, and unpublished findings. A Non-Disclosure Agreement (NDA) executed in Bangalore shall govern this obligation for a period of five (5) years post-termination.
6. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Medical Researcher shall deliver all work-in-progress materials to the Bangalore office within seven (7) days.
7. Dispute Resolution: Any dispute arising from this Purchase Order shall be resolved by arbitration in Bangalore, Karnataka, in accordance with the Arbitration and Conciliation Act, 1996. The seat of arbitration shall be Bangalore, India.
8. Force Majeure: Neither party shall be liable for delays caused by natural disasters, government-imposed lockdowns in Bangalore, or other events beyond reasonable control, as defined under Indian contract law.

All deliverables, including research reports, datasets, and manuscripts, shall be submitted electronically to the Bangalore Research Coordination Office and in hard copy (three copies) to the Indiranagar campus. Acceptance shall be confirmed in writing by the Head of Research Procurement within fifteen (15) business days of submission. Failure to respond within this period shall constitute deemed acceptance under the terms of this Purchase Order.
