Description of Services – Medical Researcher EngagementThis Purchase Order is issued by Dr. Arjun Mehta Research Institute Pvt. Ltd., headquartered in India Mumbai, for the professional engagement of a qualified Medical Researcher to conduct, oversee, and deliver comprehensive clinical and preclinical research activities. The Medical Researcher shall operate primarily from the institute's facilities located in Bandra Kurla Complex, India Mumbai, and shall adhere to all applicable regulatory guidelines set forth by the Drugs and Cosmetics Act, 1945, the Clinical Trials (Amendment) Rules, 2019, and the guidelines of the Indian Council of Medical Research (ICMR) based in New Delhi.

- This Purchase Order constitutes a binding agreement between Dr. Arjun Mehta Research Institute Pvt. Ltd. (hereinafter referred to as "the Institute") and the named Medical Researcher (hereinafter referred to as "the Researcher") for the provision of medical research services as described herein. Both parties acknowledge that the primary place of performance for all obligations under this Purchase Order shall be the Institute's research campus in India Mumbai.
- The Medical Researcher shall maintain all necessary professional qualifications, including but not limited to an M.D. (Medicine) or Ph.D. in a relevant biomedical discipline, and shall hold a valid registration with the Maharashtra State Medical Council, India Mumbai. Any lapse in professional registration shall be communicated to the Institute within forty-eight (48) hours.
- All research activities conducted under this Purchase Order shall be performed in strict compliance with the ethical standards of the Declaration of Helsinki, the ICMR National Ethical Committee guidelines, and the institutional ethics committee of the Institute located in India Mumbai. No human subject shall be enrolled without prior written ethical clearance.
- Payment shall be made in Indian Rupees (INR) via electronic bank transfer to the account designated by the Medical Researcher. Invoices shall be submitted at the end of each calendar month and shall be processed within thirty (30) days of receipt. Late payments shall attract interest at the rate of 12% per annum as per the Micro, Small and Medium Enterprises Development (MSMED) Act, 2006, applicable in India Mumbai.
- The Medical Researcher shall maintain strict confidentiality of all proprietary data, trade secrets, and unpublished research findings belonging to the Institute. A separate Non-Disclosure Agreement (NDA) executed prior to the commencement of work shall govern all intellectual property matters. All intellectual property generated under this Purchase Order shall vest exclusively with the Institute.
- The Institute reserves the right to audit the Medical Researcher's records, laboratory notebooks, and financial documentation at any reasonable time with a minimum of five (5) working days' prior written notice. Such audits shall be conducted at the research facility in India Mumbai.
- Either party may terminate this Purchase Order by providing sixty (60) days' written notice. In the event of termination, the Medical Researcher shall deliver all completed and in-progress research data, samples, and documentation to the Institute within fifteen (15) days of the termination effective date.
- All disputes arising out of or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in India Mumbai, Maharashtra, India. The parties shall first attempt to resolve any dispute through mediation in accordance with the Mediation Act, 2021, before resorting to litigation.
- This Purchase Order is governed by the laws of India, including the Indian Contract Act, 1872, and all applicable state and central regulations pertaining to medical research, clinical trials, and professional services in the state of Maharashtra, India Mumbai.
- The Medical Researcher shall carry professional indemnity insurance with a minimum coverage of INR 50,00,000 (Fifty Lakh Rupees) for the entire duration of this Purchase Order and shall provide a certificate of insurance to the Institute upon request.
By signing below, both parties confirm their acceptance of all terms, conditions, and deliverables outlined in this Purchase Order for the engagement of the Medical Researcher at the Institute's facility in India Mumbai.
